The Role

You'll be Genspark's first in-house legal hire — building the legal function from scratch and owning it end to end. With commercial contracts at the center of your responsibilities, you will also be the person the entire company turns to for initial legal judgment, from closing enterprise deals to advising on corporate matters, IP, privacy, fundraising, and M&A as the company scales.

Your top focus will be commercial deal execution - making sure legal accelerates revenue, not slows it down. But you'll also be at the company's support for potential legal matters across everything else that comes with building a $2.6B company at this pace.

You'll report directly to the Cofounder and COO Wen Sang for checks and balances between deal execution and contract governance, while working daily with the CRO, Head of Solution Engineering, Head of PLG, Head of Customer Success, Head of Finance, AEs, and leadership across the company.

You'll also own the relationship with our external counsel, knowing when to handle in-house, when to escalate, and making sure we get maximum value from every outside engagement.

What You'll Do

Commercial (primary):

• Own all commercial contract negotiation and execution — MSAs, DPAs, Order Forms, amendments, renewals, partnership and reseller agreements
• Review and turn customer redlines in hours, not days
• Build and maintain a contract playbook — pre-approved fallback positions, self-serve templates for SMB/MM, approved language library so Enterprise gets faster, cleaner turns
• Work directly with the sales team in pipeline reviews — you'll know deal context, which deals are strategic, and which redlines matter
• Partner with Customer Success on renewal and expansion contract terms
• Own data privacy compliance across jurisdictions — GDPR, CCPA, Japan APPI, and others as we expand

Corporate & Advisory:

• Support corporate matters as the company needs — IP protection, employment, corporate governance
• Support fundraising and investor-related legal work (Series C preparation, due diligence readiness)
• Advise on M&A and strategic transactions as opportunities arise
• Support international expansion — Japan, Korea, EMEA — including entity structuring, local compliance, and regulatory navigation

External Counsel Management:

• Own the relationship with all outside counsel firms
• Frame questions tightly, control scope, and only escalate genuinely novel or jurisdiction-specific matters
• Ensure we get maximum efficiency from every external engagement — one hour of specialist work, not five hours of context-building

What We're Looking For

• 7-12 years of experience in commercial, transactional, and/or corporate law — ideally at a high-growth enterprise SaaS company experienced in series rounds and/or IPO
• Deep experience with enterprise MSAs, DPAs, data privacy frameworks (GDPR, CCPA, APPI), and security addenda

• US-based, Bay Area preferred
