Job Description
The Senior Paralegal is responsible for managing the corporate governance, entity management, and business licensing functions for a portfolio of approximately 50 legal entities across the United States, Canada, and the Caribbean. This position plays a critical role in ensuring corporate compliance, maintaining corporate records, supporting governance activities, and managing business registrations and licensing requirements.
In addition to managing corporate governance and related requirements, the successful candidate will have the opportunity to be involved in and manage strategic initiatives for the Legal Operations team involving project management, process improvement, technology implementation and cross-functional collaboration.
The successful candidate will be a highly organized and detail-oriented professional who can independently
manage multiple deadlines, identify upcoming compliance requirements, draft governance documents, and proactively drive matters to completion with minimal supervision in a fast-paced corporate environment.
This role works closely with Legal, Contract Management, Tax, Treasury, Finance, and business stakeholders throughout the organization.
Corporate Governance
- Manage and maintain corporate records for a portfolio of legal entities, including corporations, LLCs, partnerships, and joint ventures.
- Prepare and file annual reports and other required corporate filings with applicable governmental authorities.
- Draft corporate resolutions, written consents, officer appointments, director elections, and other governance documents.
- Maintain corporate minute books, governance records, and corporate seals
- Serve as a Notary Public and provide notarization services as required.
- Maintain legal entity information and governance records within entity management systems.
- Coordinate with internal stakeholders to ensure governance records accurately reflect organizational changes.
Business Licensing & Registrations
- Manage the company’s business registration and licensing portfolio.
- Prepare, submit, track, and renew business licenses, registrations, and related filings.
- Coordinate licensing activities with business stakeholders and regulatory agencies.
- Assist with contractor, engineering, and other specialized licensing requirements as needed.
- Research licensing requirements and support remediation of compliance issues.
- Develop and maintain processes to ensure timely renewal and compliance with applicable requirements.
- Corporate Records & Internal Support
- Respond to requests for certificates, governance documents, and corporate information from internal stakeholders.
- Maintain legal department records and document repositories.
- Assist with special projects related to corporate governance, compliance, and entity management.
- Legal Operations, Process Improvement & Special Projects
- Participate in and manage special projects that improve Legal Department efficiency, scalability and service delivery.
- Identify opportunities to improve governance, licensing, and record-management processes.
- Maintain tracking systems, dashboards, and compliance calendars.
- Support implementation and optimization of legal technologies and automation initiatives.
- Develop standard operating procedures, training materials and knowledge management resources.
Qualifications
Required Qualifications:
- Bachelor’s degree and/or Paralegal Certificate.
- 5+ years of corporate governance, corporate paralegal, or entity management experience.
- Experience managing business registrations and licensing activities.
- Proficient with all applications within Google Workspace.
- Active Notary Public commission or ability to obtain one shortly after hire
