About the Role
We are looking for a qualified Company Secretary to ensure compliance with corporate governance standards, statutory regulations, and legal requirements. The role will support the Board of Directors and senior leadership in maintaining effective governance practices.
Key Responsibilities
- Ensure compliance with the Companies Act, SEBI regulations (if applicable), and other statutory requirements.
- Organize Board Meetings, Committee Meetings, AGMs, and EGMs.
- Prepare agendas, minutes, resolutions, and statutory filings.
- Maintain statutory registers, records, and corporate documentation.
- Coordinate with regulatory authorities, auditors, and legal advisors.
- Advise management on corporate governance and compliance matters.
- Monitor changes in legislation and ensure organizational compliance.
- Manage ROC filings and secretarial audits.
- Support due diligence, mergers, acquisitions, investments, and fundraising activities.
- Ensure timely compliance certifications and disclosures.
Qualifications
- Qualified Company Secretary (ICSI Member).
- LLB preferred.
- 8+ years of experience in Corporate Secretarial and Compliance functions.
- Experience in healthcare, listed entities, or large corporate groups preferred.
