The Role

We are hiring our first dedicated commercial counsel at the Director level to own and accelerate our contracting process. At Giga, speed is our competitive advantage. As we continue to scale and close massive enterprise deals, our Master Services Agreements (MSAs) have grown into complex that require dedicated, specialized legal expertise to navigate quickly and safely.

As a Director, Legal at Giga, you will own the commercial legal function from the ground up, transforming our contracting process into a strategic advantage for the business. You will partner with business development, and operations teams to design and implement strategies that support high-growth go-to-market initiatives.

This is a high-impact role where you will support complex commercial transactions including SaaS, licensing, and strategic partnerships while providing practical, business-oriented advice that enables growth and manages risk.

What You Will Do

  • Contract Ownership & Negotiation: Independently draft, review, and negotiate a wide variety of commercial agreements, with a heavy focus on complex Master Services Agreements (MSAs) for large enterprise customers, DPAs vendor contracts, and other SaaS/technology agreements.

  • Accelerate Deal Velocity: Act as a strategic partner to the sales team to unblock bottlenecks. Triage contract requests and keep deals moving swiftly through the pipeline while maintaining consistency with company policies.

  • Build Legal Infrastructure: Develop and maintain contracting infrastructure from the ground up, including templates, fallback positions, playbooks, and contract lifecycle workflows. Proactively spot patterns to reduce repeat friction in negotiations.

  • Cross-Functional Advising: Serve as day-to-day counsel to cross-functional stakeholders, advising on contract structure, risk allocation (indemnities, liability, data privacy/security), and negotiation strategy.

  • Process Improvement: Seamlessly transition contract ownership from the business team to the legal function, bringing Big Law rigor and scalable, repeatable processes to our early-stage environment.

  • Product Law Guidance: Provide strategic product law advice as a valuable bonus to help guide the development of our AI and enterprise workflow tools.

  • General Legal Support: While commercial matters will account for approximately 85% of your focus, you will also act as a versatile legal partner, providing ad hoc advice and guidance on a variety of broader corporate legal matters as the company scales.

What We’re Looking For

  • Education & Certification: J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.

  • Core Experience: Strong background as a commercial lawyer (transactional, funding, or purely IP backgrounds are not a fit for this role).

  • Enterprise Sales Exposure: Deep experience negotiating and closing deals with large enterprise companies, with a strong understanding of what it takes to get complex MSAs across the finish line.

  • Big Law Foundation: 2+ years of prior experience at a top-tier law firm bringing a high level of rigor and exposure to scaling companies.

  • Startup DNA: Early-stage startup experience, ideally having worked as part of the first 150 employees or within a small legal team (1-3 people).

  • Infrastructure Building: Proven experience building contracting infrastructure, such as templates, playbooks, and workflows, from scratch.

  • Bonus: Prior experience dealing with product law is highly valuable.

  • Work Style: Organized, highly responsive, and comfortable managing multiple priorities in a fast-paced environment where speed is critical to the company's success.
