CSC Escrow & Settlements is a leading provider of escrow and settlement services in predominantly M&A, real estate transactions and litigation proceedings.
The Client Manager Escrow & Settlements is responsible for assisting with the client onboarding of escrow transactions and will to that effect liaise closely with the transaction parties to set-up the onboarding of a deal.
They will be responsible for working with the clients and/or their (legal) advisors to collate all correct KYC information and ensure it is input into relevant databases and all necessary approvals are received prior to a deal closing. The Client Manager Escrow & Settlements will also be responsible for static data management and for managing and completing (according to specified timeframes) all annual KYC reviews.
Responsibilities
- Serve as the primary point of contact for clients and/or their (legal) advisors to request, collect, and review all required KYC documentation during onboarding and subsequent periodic reviews;
- Ensure timely and accurate onboarding of new clients and projects in accordance with relevant laws, regulations (incl. Wwft), and internal policies;
- Work with the wider escrow team to manage deal onboarding;
- Review and analyse client ownership structures and perform ultimate beneficial ownership (UBO) and risk assessments;
- Conduct PEP, sanctions, and general compliance screenings, and analyse the results;
- Review and approve due execution of relevant transaction documents in line with standard operating procedures; and
- Deal with ad hoc simple transaction enquiries and/or relevant correspondence.
Keeps management informed and advises about the possibilities to continuously improve and enhance efficiency with respect to the intake process and the transfer or contracts to Operations. Contributes to enhancing the structure, set up and checks of the (administrative) processes relevant to the job holder, in accordance with current legislation and requirements driven by a.o. audit, compliance and business continuity with a view to strengthening the efficiencies and effectiveness of the escrow business.
Contributes to a seamless operating mode on basis of our work processes, monitors and takes precautions or actions to avoid and tackle bottlenecks. Contributes to offering solutions to identified client or contract issues and verifies whether solutions provided have been effective. Contributes to a client focused approach through dedicated and professional efforts with a view to increasing the client’s satisfaction.
Skills / Experience
- Understanding of different corporate structures, legal entities (e.g. Dutch foundations (STAK), Trusts, PE partnerships, Charities, etc.) and authorisations is desirable, including reading skills with respect to documents from a wide variety of jurisdictions.
- A legal background, or prior experience in compliance, client onboarding or Wwft, is considered beneficial.
- Experience of M&A transactions in a principal or agency capacity is beneficial.
- Experience of finance-related work is beneficial.
- An excellent level of communication skills, both oral and written, and a high level of interpersonal skills, giving the ability to work with all levels, both within and external to, CSC.
- The ability to balance competing priorities and meet deadlines within the context of a demanding workload.
- The ability to work independently, and to work effectively as part of a team, both within the escrow team and in a multi-disciplinary setting.
Knowledge of English and Dutch and able to speak the language.
