Job Description
Support the corporate attorneys in our Silicon Valley office with corporate transactional work and general corporate governance matters.Primary Responsibilities and/or Essential Functions:
- Assist attorneys with transactions: organizing and reviewing diligence materials, maintaining closing files, preparing signature packages, preparing execution copies of closing documents and compiling signing and closing sets.
- Corporate governance matters such as maintaining minute books, stock records and stockholder files.
- Draft and coordinate execution of corporate documents, such as incorporation/formation documents, UCC financing statements, board/stockholder consents, award agreements and audit letters.
- Coordinate legal filings with state and federal government agencies, as well as the retrieval of documents from same agencies.
- Research and analyze information collected from public records databases.
- Any additional requirements as required by management.

- Ability to work independently and handle multiple tasks simultaneously.
- Ability to work well under pressure and with constant interruptions.
- Exhibits excellent interpersonal skills in communications in person, by e-mail and telephone and provides information in a timely matter with courtesy and tact; follows instructions effectively from a diverse group of clients, attorneys and staff.
- Ability to handle high-pressured situations in a courteous and professional manner.
- Works effectively with co-workers as part of the team to get the job accomplished.
- Flexible and open-minded; willing to share and exchange ideas/suggestions.
- Ability to organize and prioritize numerous tasks and complete them under time constraints.
- Ability to work overtime hours and travel, if needed or requested.
Education/Certifications:
- BA/BS with strong academic background required.
- Paralegal Certificate preferred.
Estimated salary for this position is $65,000. Compensation decisions are dependent on the facts and circumstances of each case including but not limited to the individual's skills, experience, and qualifications.
