Purpose: You will work in a small legal team assisting primarily with the Corporate Athlete Talent representation and Corporate Music Talent divisions. You will be responsible for ensuring compliance, and corporate and commercial tasks such as acquisitions and strategic transactions.
Reporting: The position will report directly into the Associate General Counsel (Corporate Talent) and will work closely with Vice President, Legal (Corporate Talent), both based in London.
Duties:
- Providing assistance and support with acquisitions. This will involve working within the internal M&A team, providing assistance with drafting documents such as bid letters, term sheets, share and asset purchase agreements, carrying out/reviewing due diligence and instructing external counsel on M&A transactions.
- Drafting and negotiating a broad range of contracts, including senior employment agreements for agents, consultancy agreements, service agreements, partnership agreements, commercial leases, powers of attorney, confidentiality agreements, and joint venture agreements.
- Taking ownership of contractual disputes.
- Monitoring and ensuring ongoing division compliance (including Anti-Bribery, AML, sanctions and data protection) and providing training.
- Supporting legal business needs of subsidiaries across EMEA and APAC.
Skills/Qualifications:
- 3-4 years PQE, with in-house experience (including secondments).
- Experience of working on M&A transactions.
- Experience in Commercial, Corporate and Employment law.
- Excellent listening skills, team player and ability to take instruction from and work effectively with legal team members and business units.
- Ability to take ownership of matters whilst able to receive the appropriate level of supervision and feedback from other legal team members.
- Ability to think on your feet in a commercial manner.
- Ability to manage a diverse workload to tight deadlines.
- Flexibility to liaise with the EMEA and US offices and colleagues.
- Excellent technical ability, responsiveness and attention to detail.
