Corporate Controller & M&A Integration Lead
Department: Finance
Employment Type: Full Time
Location: Chicago
Compensation: $275,000.00 - $325,000.00 / hour
Description
We are seeking a Process-First Corporate Controller to serve as the financial architect of our global organization. Managing multiple subsidiaries in a high-growth fintech/SaaS environment requires a leader who excels at systems integration through rigorous governance and controls.
You will be responsible for building an "audit-ready" culture, centralizing a sophisticated Treasury function, and leading the financial integration of all future acquisitions.
What Will You Be Involved With?
- The 5-Day Close Mandate: Re-engineer the month-end, quarter-end, and year-end close cycles to achieve a "5-Day Close" across all 18 subsidiaries. You will identify and eliminate manual bottlenecks using automation and standardized reporting templates.
- Continuous Accounting Implementation: Move the organization toward a "Continuous Close" model by implementing real-time reconciliations and automated intercompany eliminations, ensuring the books are "audit-ready" at any point in the month.
- Intercompany & Consolidation Excellence: Own the complex elimination process for global transactions. Ensure 100% accuracy in multi-currency translations and the consolidation of subsidiary ledgers into a single, unified corporate report.
- Close Governance & Visibility: Establish a global "Close Calendar" with clear departmental accountability. Implement a "Flash Reporting" process to provide the CFO and Board with preliminary results within 96 hours of period-end.
- Exception-Based Review: Design and oversee an automated anomaly detection process to flag variances or unusual entries early in the cycle, shifting the team’s focus from data entry to high-value analysis and "Close Quality" KPIs.
M&A Integration & Subsidiary Governance
-
The Integration Playbook: Develop and execute a standardized "Finance Integration Playbook" for new acquisitions. Lead the "Day 1 to Day 90" transition, including chart of accounts (COA) mapping and policy alignment. - Technical Accounting (ASC 805): Lead the purchase accounting process for all deals, including valuation of intangibles, opening balance sheet entries, and goodwill impairment testing.
- System Migration: Direct the migration of acquired entities from legacy accounting software into the corporate ERP (e.g., NetSuite/Salesforce).
- Global Consolidation: Manage the complex eliminations and intercompany flows across the organization, ensuring high-fidelity reporting of consolidated results.
Process Architecture & Internal Controls
-
The "No PO, No Pay" Mandate: Design and enforce a global Purchase Order (PO) architecture. You will be the executive owner of the procurement tech stack, ensuring that 100% of non-payroll spend is pre-approved. - Operational Scalability: Identify and automate manual bottlenecks in the accounts payable, receivable, and expense management workflows to support a $1B+ market cap.
Treasury & Board Reporting
-
Cash Command: Oversee global cash positioning and 12-week rolling cash forecasts. Manage banking relationships and ensure 100% debt covenant compliance. - Sub-Certification: Implement a "Sub-Certification" program where subsidiary leads certify financial results, ensuring a clear chain of accountability for the CEO/CFO.
Success Metrics (First 12 Months)
-
Standardization: Successfully map all 18 subsidiaries to a single, unified Chart of Accounts. - PO Discipline: Implement a centralized procurement system with >95% adherence across all units.
- Audit Excellence: Complete the annual audit cycle with zero material weaknesses.
- Treasury Efficiency: Centralize liquidity management for all subsidiaries into a single Treasury Management System (TMS).
What Will You Bring to the Table?
- Certification: Active CPA is mandatory.
- Experience: 12+ years of progressive accounting leadership; minimum 4 years in a $500M+ or public company environment.
- M&A Track Record: Proven experience integrating at least 3–5 acquisitions of varied complexity.
- SaaS/Fintech Fluency: Mastery of ASC 606 (Revenue Recognition) and software capitalization rules.
