Job Description

The Senior Legal Counsel will be focused on negotiating, drafting, and approving enterprise and insurance SaaS and data licensing arrangements and supporting our North America insurance sales business. Where required, this role will support other regions where our group operates and work on other legal and regulatory aspects for our corporate group. The candidate will be responsible for direct relationships with certain business leaders and sales verticals to help them achieve their projected targets.

Key Responsibilities

Support the North American insurance sales organization and go-to-market efforts by:
Draft, review, and negotiate external-facing product and vendor contracts;
Attend to legal-related external customer support requests and enquiries;
Identify, assess, and mitigate legal risk associated with new, updated, and/or discontinuation of products, including updating standard terms as needed;
Ensure compliance with applicable data privacy and other relevant regulations; and
Collaborate on global legal projects lead by the Deputy General Counsel(s).
Supporting and advising the insurance sales team on deal structure and contract negotiations, including advising on legal risks and legal liabilities associated with contractual arrangements;
Representing Nearmap’s interests and interfacing directly with opposing counsel and negotiation teams; and
Providing training to the insurance team in understanding the legal position and risk exposure;

Qualifications

JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States;
7+ years legal experience, with a combination of in-house experience (ideally within a SaaS environment) and law ﬁrm transactional experience preferred;
Strong experience in drafting and negotiating complex enterprise contracts, preferably with companies in the insurance industry, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving artiﬁcial intelligence, machine learning and machine derived attributes, and data privacy;
Ability to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk and not compromising on quality or work;
Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language;
Comfortable managing and responding to messages quickly and balancing multiple deals at one time;
Strong interpersonal communication skills needed to be an eﬀective business partner;
Broad commercial and corporate law knowledge with a strong background of intellectual property law in a technology context, licensing, SaaS, revenue recognition, and privacy;
Able to handle matters with minimal supervision;
Able to work and act decisively in a fast-paced, time critical environment while balancing risks; ;
Openness to adapting practice in response to a ﬂuid and expanding product roadmap and company initiatives; and

Counsel on pharmaceutical marketing and promotional activities, including compliance with federal law, provincial rules, and industry codes of conduct (e.g., Innovative Medicines Canada Code of Ethical Practices).
Advise on pharmaceutical pricing and reimbursement frameworks, including the Patented Medicine Prices Review Board (PMPRB) guidelines, formulary listing processes, and provincial drug plan requirements.

Who We’Re Looking For

Bachelor’s Degree in Law (LL.B.) or Juris Doctor (J.D.), with 4+ years post-call experience.
Experience either in a law firm or in-house experience, ideally in a regulated industry or start-up environment.

Position Purpose

What You’Ll Do

You’ll play a significant role in delivering a comprehensive legal service to Scottish Water, spanning legislative and regulatory compliance and the provision of advice across a broad range of practice areas. The goal, of course, is that Scottish Water remains legally compliant and effectively manages risk across the business.

In this role you will have a focus on delivering property legal services. This means you will be part of the team responsible for delivering a broad range of legal advice in areas such as supporting the acquisition of land and rights for Scottish Water’s Capital Programme, commercial leasing, property aspects of renewable energy transactions, complex title investigations and registrations, all with the aim of supporting Scottish Water in the delivery of its strategic ambitions.

But delivering legal services is not enough. We want to transform so the role will also involve a focus on continual improvement in terms of customer service, cost-efficiency, quality, and collaboration, both across Scottish Water and with our external legal providers and stakeholders. We want to embed preventative lawyering as a central pillar of how we operate, and you will play a significant role in making those things a reality.

What You’Ll Bring

You’ll be a Scottish-qualified solicitor with a current practising certificate.

You’ll have in-depth knowledge of a wide range of legal and regulatory matters with a practical and collaborative approach. You will have experience of having advised on complex title queries and registrations, land acquisitions and disposals and commercial leases. Ideally, you’ll have experience with the property aspects of renewable energy projects and have gained some of experience providing advice in the water industry, or another regulated industry.

A skilled communicator, you’ll have a knack for Knowing-Your-Audience. Whether you’re crafting written documentation, presenting to a group or facilitating a discussion, you know how to effectively get your message across, and you don’t get bogged down in “legalese” when speaking to a non-legal audience.

And in all your dealings with colleagues, customers and external parties, you’ll embody the Scottish Water Character – by being Bold, Responsible, Inspiring and Caring, both as a colleague and as a Leader.

The Not-So-Small Print

This role will be a Grade 8. If you’re new to Scottish Water, you’ll join us on a starting salary of £52,671. Performance-driven pay progression would then allow you to move through the range to a maximum of £72,218.

Job Title: Senior Legal Counsel - Data Privacy & Commercial

Location: Dallas, TX (Hybrid)

Position Overview:

Galderma is seeking a Senior Legal Counsel - Data Privacy & Commercial for a newly created role to serve as the primary legal advisor to Galderma’s U.S. business units on data privacy matters, with the opportunity to provide support in a variety of other substantive areas supporting the needs of our business. This position reports to the Associate General Counsel, Employment, Commercial & Data Privacy, and will be located in our Dallas, Texas office in a hybrid (3 days in office) environment. The role will partner closely with key stakeholders within the global and U.S. cross-functional teams.

The ideal candidate will have foundational experience in U.S. federal and state privacy laws and demonstrate the ability to provide pragmatic, thoughtful counsel in a fast-paced environment. This is an ideal role for someone who is eager to learn, passionate about data protection, and wants to join a collaborative, global legal team that values creativity, critical thinking, and practical solutions.

The successful candidate will have a minimum of seven (7) years of legal experience in U.S. data privacy compliance, and experience working with global organizations (either in a law firm or in-house environment) is preferred. They will be collaborative, pragmatic and agile, thriving in a dynamic, high-growth environment while helping to create processes that support good governance and compliance at the highest level of ethical leadership.

Key Responsibilities:

In collaboration with U.S. and Global Legal and Compliance colleagues, develop and deliver data privacy compliance and risk management training, awareness, policies and strategies, and provide day-to-day advice and counsel to the organization on these matters.
Proactively provide timely advice, counsel and guidance to internal business stakeholders on various laws, rules, regulations and Galderma policies and procedures in relevant substantive areas.
Draft, review, and negotiate data protection terms in various commercial agreements.
Support the maintenance and improvement of data protection agreement templates and negotiation playbooks.
Draft, negotiate and review various other commercial agreements.
Manage data privacy-related disputes and litigation.
Collaborate and communicate with colleagues, business management and outside counsel on issues critical to the company’s success.
Research legal issues that could impact Galderma’s business.
Some travel (less than 10%) to Galderma’s U.S. locations may be required.

Qualifications:

Juris Doctor degree from an accredited U.S. law school required.
Active U.S. State Bar license and member in good standing required.
Minimum of 7 years’ legal experience in U.S. federal and state data privacy laws required; global organization experience preferred.
Experience with health privacy laws and regulations (e.g., HIPAA, FTC regulations, state consumer health data privacy laws) within the healthcare, life sciences, or pharmaceutical industries preferred.
Data privacy certifications such as IAPP-CIPP/US preferred.
Experience drafting, negotiating and reviewing various types of commercial agreements, including but not limited to sales, confidentiality, services, consulting, supply, distribution, joint promotion, marketing, and similar agreements preferred.
Experience drafting legal and compliance policies and training materials and delivering content through a variety of methods.

Legal Responsibilities:

Proactively promote and practice effective and professional legal advice for Dematic UK’s business activities and service offerings.
Support pre-contractual legal considerations such as review and analysis of ITT’s/ RFQ’s and provision of ad hoc (strategic) advice to the sales- procurement and/or execution teams.

Qualifications & Experience:

Degree In Law
Solicitor or equivalent, admitted in a common law jurisdiction additional European/civil law qualification is a plus.

Your Role

We’re seeking an Associate Legal Counsel to join our team. This role will primarily involve negotiating commercial contracts and conducting legal research, but will also be called upon to provide general legal counsel to Hudl's core businesses. Though primarily commercial in nature, this position requires a legal generalist capable of advising across multiple legal areas.

As Legal Counsel, You’Ll:

Negotiate commercial contracts and drive deals. You’ll assist with drafting, reviewing and negotiating a range of agreements, including: commercial contracts, sales/customer contracts, product terms & conditions, marketing and technology agreements, partnership agreements, content license agreements and vendor agreements. You will support other Legal Team members with more complex contract negotiations with external parties.
Assist with commercial contracting systems and processes. You’ll assist with the creation and maintenance of contracting templates, playbooks and processes across Hudl’s product suites to minimize legal risk while advancing business objectives.
Provide legal guidance. You’ll provide guidance to our internal business clients, across multiple departments, on contracting related questions and help with training relevant business stakeholders on contracting principles and processes. You’ll also support the brand and marketing function by reviewing marketing materials and advising on contests, promotions and other initiatives.
Conduct legal research. You’ll keep up with current changes in relevant areas of law, contributing to the enhancement of our company’s legal knowledgebase.

For this role, we're currently considering candidates who live within a commuting distance of our headquarters in Lincoln, Nebraska. While we have a flexible work policy, the majority of the team are office-based and your regular presence in-office is expected. We are not considering any remote hires at this time.

Must-Haves

Professionally educated and experienced. You have a law degree from an accredited law school and a minimum of one year post-qualified experience working in a law firm and/or in-house. Deine Aufgaben Im Detail:

Die Beratung unseres Geschäftsbereichs Pharma Liquid bei Projekten im In- und Ausland, vor allem in den Bereichen Vertragsrecht und Litigation/Claims Management für den Standort Crailsheim liegt in deiner Verantwortung.
Du führst Kunden- und Lieferantenverhandlungen durch und begleitest diese.
Weiterhin fungierst du als Center of Competence und Ansprechperson des Legal Services & Compliance Teams für die Business Unit Pharma Liquid für den Standort Crailsheim.
Zudem arbeitest du eng mit dem Vertrieb, dem Einkauf, der Patentabteilung, der Steuerabteilung und der zentralen Rechtsabteilung zusammen.

Qualifikationen

Du bist Volljurist (m/w/d) und konntest überdurchschnittliche Ausbildungsergebnisse erzielen.
Weiterhin hast du bereits mehrere Jahre Berufserfahrung in einer überregional aufgestellten Kanzlei oder einem international tätigen Unternehmen gesammelt und verstehst dich als jurisitsichen Generalist (m/w/d).
Internationale Erfahrungen im Vertragsrecht sowie Grundkenntnisse im IP-Recht und in Compliance-Fragen sind von Vorteil.

Qualifications

Belgium qualified lawyer with minimum 10 years experience.
Fluent in English, Dutch and French.

Ability to navigate difficult issues and multiple stakeholders, advising the business on key risks, and developing solutions.

POSITION SUMMARY
Under the direction of the Chief Legal Counsel and/or Deputy Chief Legal Services and in collaboration with the Legal Services team, the Legal Counsel assists in the daily and strategic operational activities of the Legal Services team, such as general legal research; the review and authoring of legal briefs, memoranda, and contracts; the review of pleadings, motions, affidavits, legislations, rules, and pending litigation; and responding to SOS staff inquiries on legal matters, policies, and procedures.

ESSENTIAL DUTIES AND RESPONSIBILITIES
The essential functions may include, but are not limited to, the following:

Legal Support and Research
• Conducts legal research on election-related issues, including Ballot language, election administration, Electoral process, Tie-vote matters, and Review of court decisions pertaining to election law
• Prepares and reviews legal materials, including contracts, Handbooks, manuals, letters, and correspondence

Complaint Management and Evaluation
• Reviews notary complaints and drafts discipline letters
• Evaluates and investigates complaints about board of election operations
• Summarizes findings
• Makes recommendations to supervisors
Public Engagement and Communication
• Processes public records requests under supervision
• Communicates with local boards of election, government officials, and the public
• Prepares responses to legal inquiries

MINIMUM QUALIFICATIONS
Education
● Required: Bachelor’s degree and Juris Doctor degree from an accredited college or university

Job Description

As a Senior Legal Counsel, your role would be to:

Monitor, maintain,and improve global procedures and standards to ensure compliance with privacy and other regulatory frameworks applicable to Docplanner in the markets where it operates (some examples: GDPR, LGPD and KVKK; the EU AI Act; the EU Digital Services Act; the EU Data Act, EU P2B Regulation, the European Healthcare Data Space Regulation)
Deal with the management of data security breaches, both at strategic and granular level
Provide legal advice and strategic guidance regarding privacy and regulatory compliance to other business functions and senior leaders
Develop an automation-first or automation-empowered approach to routine legal and privacy compliance tasks, ensuring efficiency thanks to the use of well-designed processes and internal or external tech tools
Conduct privacy impact assessments, legitimate interest balance assessments, and other privacy and legal assessments as required
Work closely with other Docplanner lawyers, InfoSecurity professionals and Risk experts at global and local level, project-manage the implementation of new initiatives and controls, and integrate best practices into internal operations.
Design and provide training to the Docplanner workforce
Identify, flag, measure, and document legal risks and support the group wide privacy risk management
Draft and review third party contracts with large vendors and enterprise clients or partners
Support the Chief Legal and Risk Officer on due diligence activities in the fields of privacy and digital regulations, as well as in the design and execution of the privacy and digital regulations compliance roadmap

Qualifications

Law degree and qualified to practice as in-house lawyer in your country of residence
At least 5 years of experience in the field of privacy and data protection, with experience dealing with other regulations applicable to digital services providers and/or digital healthcare providers a strong plus
Experience - or at least, a strong interest - in designing and implementing efficient and scalable processes, automation solutions, and tech-enabled solutions for the delivery of legal services
Fire-starter who can clearly demonstrate ability to be proactive without continuous supervision and to lead strategic legal projects autonomously
Quick decision-making with good business judgment (balancing both legal and commercial aspects), oftentimes in ambiguous situations
Detail-oriented, well-organised and hands-on, ready to jump in and “get your hands dirty” as and when required, fixing issues first hand and be able to be a “doer” as much as a project manager and mentor
Strong interpersonal and team player skills
Full professional proficiency and ability to work in English required (and professional knowledge of Polish, Spanish, Portuguese, German, and/or Italian languages a plus)

The Legal team is responsible for managing the legal affairs of CCNSW and protecting the organisation against unacceptable legal risk.

About The Role

Reporting to the General Counsel, the Senior Legal Counsel provides support and advice to the business, including support on matters that have strategic significance. The role supports the General Counsel by undertaking the majority of the oversight of the team’s Legal Counsel, as well as oversight of the volunteer interns that participate in the team’s work from time to time. The role plays a key part in the design and implementation of legal process improvement initiatives and stands ready to act as an alternate for the General Counsel in organisational forums and in interactions with the Executive Leadership Team and Board.

This role will be a 12 months maximum term contract.

Key responsibilities of the role

Draft, review and approve all contractual agreements, and assist business owners in negotiating with customers, suppliers, service providers, retailers, partners, collaborators and other stakeholders, in respect of a wide range of commercial, IT, IP, research, events and fundraising agreements.
Provide advice (and manage advice provided by external lawyers) on legal and regulatory issues of importance to the organisation, including the Charitable Fundraising Legislation and Privacy Law.
Draft template contracts used by the organisation, having regard to evolving best practice in the content and format of Australian commercial contracts.
Assist in the regular review and development of policies, procedures and training programs for staff on relevant legal issues.
Assist in the management and protection of organisation’s intellectual property, in accordance with the Intellectual Property Policy including trade marks, copyright and moral rights (as applicable).
Coordinate legal support (including external support as required) for the management of bequests made to the organisation, including the efficient management of external legal support for Court proceedings relating to contested estates.
Assist in the regular monitoring and reporting of changes to relevant legislation and regulations, taking or advising on appropriate action to respond to such changes.

Essential

Tertiary qualification in law and current practicing certificate, with 8+ years of experience including in-house in a legal role.

This new role will lead critical and novel contracting strategies across Medtronic’s Cardiovascular, Neuroscience and Medical Surgical Portfolios to support commercialization of cutting-edge digital health solutions, complex surgical robotic platforms, smart medical devices, remote service systems and other data-enabled healthcare technology and service solutions for Medtronic’s diverse base of customers and strategic partners.

This is a high-impact role that requires a proactive, decisive, creative, and compliant solutions-oriented mindset to shape Medtronic’s commercial success in the dynamic digital health technology landscape.

This position reports to the Legal Director, US Commercial Legal organization.

Responsibilities may include the following and other duties may be assigned.

Support the negotiation and drafting of complex commercial arrangements and strategic partnerships in the technology, digital health, and healthcare space.
Identify, assess, and communicate key contract risks, obligations, and practical mitigation strategies to internal stakeholders.
In partnership with other subject matter experts, support discussions and negotiations regarding customer implementation strategies, product functionality, data use, and access and security issues.
Collaborate closely with Medtronic’s various legal Centers of Expertise (COEs) and other legal and compliance professionals, as needed, to deliver the highest quality practical and strategic advice to sales, finance, and other stakeholders to close deals effectively and compliantly.
Advise on federal healthcare laws, antikickback, antitrust, False Claims Act, HIPAA, state data privacy and security laws, software licensing, FDA law, IP and other legal risk areas governing data-enabled healthcare technology and AI commercial transactions.
Develop, review, or implement company-wide and/or functionally specific training programs for the areas described above.
Monitor evolving regulatory standards impacting commercial transactions of data-enabled healthcare technology and AI commercial transactions.
Partner with other stakeholders to build efficient processes, including the creation and maintenance of playbooks, templates, self-help workflows, and document management systems.

MUST HAVE: MINIMUM REQUIREMENTS

Juris Doctor from a nationally recognized US law school.
Licensed to practice law and in good standing under the Bar of at least one state in the United States or in Washington D.C.
8+ years of legal experience to include 5+ years of legal experience both advising clients on the laws and regulations relevant to the sale and promotion of data-enabled healthcare technology products and services, as well as negotiating and drafting agreements governing the sale of these products and services.

Nice To Have

Experience supporting Sales and Marketing, with a focus on digital health enabled medical devices and services.
Extensive experience negotiating and drafting technology licensing agreements, data use agreements, Business Associate Agreements, capital acquisition programs (sales, leasing, and financing), discount arrangements, partnership agreements, distribution agreements, group purchasing organization agreements, service and repair agreements, other.
Experience providing legal advice, support and business solutions for data protection, privacy, security or equivalent function for a large, regulated and matrixed organization.

Proven ability to manage and execute multiple complex assignments across multiple stakeholder groups within required timelines and expectations.

•Significant experience executing complex public and private mergers and acquisitions transactions (both buy-side and sell-side) and other corporate transactions (e.g., joint ventures, equity and debt investments)
•Experience in related commercial arrangements (e.g., services and supply arrangements) a significant plus
•Life sciences experience required; VC and/or digital experience a significant plus
•Strong business acumen and proven ability to work and to lead in a matrixed organization

Novartis Compensation Summary:

The salary for this position is expected to range between $194,600.00 and $361,400.00 USD per year.

The final salary offered is determined based on factors like, but not limited to, relevant skills and experience, and upon joining Novartis will be reviewed periodically. Novartis may change the published salary range based on company and market factors.

Your compensation will include a performance-based cash incentive and, depending on the level of the role, eligibility to be considered for annual equity awards.

About You

What You’Ll Do

The primary role of the successful candidate will be to liaise directly with the investment banking professionals in Europe, the UK, Middle East and Africa to understand the nature and structure of the M&A transactions on which Citi is advising and to accurately identify, assess and escalate or deal with in a timely manner the risks, exposures or liabilities that Citi may face in relation to such transactions.

Operational

About You

You will be a qualified solicitor or patent attorney with at least 3 years’ post-qualification experience in intellectual property, comfortable working across both contentious and non-contentious matters. You will have a solid grounding in IP litigation, ideally involving patents, and enjoy managing multi-jurisdictional disputes often in collaboration with external counsel.

General Purpose:

Under general direction, the Senior Legal Counsel - Real Estate, provides professional senior level legal counsel to the Agency on a variety of highly complex legal matters, with an emphasis on eminent domain, property acquisition and relocation matters; has independent decision making responsibility for assigned legal matters; negotiates, drafts and approves agreements; comments on proposed legislation; prepares or reviews legal documents; represents the Agency in litigation; and provides specific and strategic legal advice directly to senior management and board members on significant legal matters that affect the overall Agency. Provides support to the General Counsel on miscellaneous matters.

Essential Functions:

Sound Transit’s legal department seeks a municipal real estate attorney. As in-house counsel to a regional transit authority, we advise the governing elected board and agency staff on complex legal matters and develop strategies and creative solutions that balance potential legal risks with agency and public interests. We work with elected officials, the Federal Transit Administration, engineers, transportation planners, and other dedicated agency staff to plan, design, build, and operate the region's high-capacity transportation system. Under the direction of the General Counsel, the senior legal counsel provides legal advice and counsel to the Agency on a variety of matters, focusing primarily on municipal law and real estate, including eminent domain and complex real estate transactions. Other desirable experience includes negotiation of intergovernmental agreements, MTCA cost-recovery litigation, utility relocation coordination, relocation matters, and other duties as needed. This position is intended to complement our existing team of 16 attorneys in a collegial and collaborative work environment.

The position involves a municipal real estate law focus and requires at least eight years of relevant transactional and/or litigation experience. The work requires a solid understanding of complex real property issues (including valuation), and may include acquiring property through condemnation or under threat of condemnation, structuring and negotiating real estate deals allocating fee and easement rights, transit oriented development, reviewing, drafting, and negotiating agreements with federal, state, and local governments, as well as counseling the Board and staff in implementing the requirements of the Uniform Act and Washington eminent domain law, and managing outside counsel in condemnation and environmental litigation.
