International Legal Counsel (UA or RU speaker)

   As International Legal Counsel, you will play a key role in shaping and executing our international corporate structure, with a strong focus on LATAM jurisdictions. Your core responsibility will be advising the business on where, how, and under which structure to open companies, ensuring legal efficiency, tax optimization, and regulatory compliance.

 You will act as a strategic legal partner to the CEO, supporting international expansion by leading company incorporations, cross-border structuring, and ongoing corporate governance, while minimizing legal and tax risks. 

• Lead company incorporation and structuring in multiple jurisdictions, primarily across LATAM (and other regions when needed).
• Advise on jurisdiction selection, including tax optimization, regulatory environment, operational risks, and costs.
• Manage the full lifecycle of legal entities: incorporation, corporate governance, statutory filings, restructurings, and liquidations.
• Coordinate and supervise local counsels and authorities when required, while maintaining ownership of the process internally.
• Provide ongoing corporate, commercial, and international law advice to business and finance teams.
• Draft, review, and negotiate corporate and commercial agreements (shareholder agreements, service agreements, NDAs, partnerships).
• Support cross-border transactions and international expansion initiatives.
• Advise on tax-related legal aspects in collaboration with finance (transfer pricing structure, substance requirements, intercompany agreements).
• Monitor regulatory and legal developments in LATAM and assess their impact on the group structure.

• Bachelor’s or Master’s degree in Law (LLB or equivalent).
• 4+ years of experience in international corporate law, preferably in-house or within a consultancy serving multinational clients.
• Hands-on experience with company registration and corporate structuring in multiple countries, ideally across LATAM.
• Strong understanding of international corporate structures and tax optimization principles (legal perspective).
• Experience advising businesses on where and how to establish legal entities.
• Ability to work independently and act as a business-oriented legal advisor.
• Fluency in English and Ukrainian or Russian is mandatory; Spanish is a strong advantage.
• Excellent drafting, negotiation, and stakeholder management skills.
