Role Summary 

We are seeking an experienced Corporate Lawyer to provide end-to-end legal support across corporate operations, transactions, and strategic initiatives. The role sits within a client service environment and requires close collaboration with senior stakeholders to ensure compliance with applicable laws, mitigate legal risk, and support business objectives effectively.

 

Key Responsibilities 

 

Advisory

·       Provide pragmatic, business-oriented legal advice to senior management and stakeholders on corporate governance, structuring, regulatory matters, and compliance.

·       Act as a trusted legal advisor on strategic initiatives and day-to-day corporate matters.

Contracts & Documentation

·       Draft, review, negotiate, and manage a broad range of commercial contracts, policies, and legal documentation.

·       Ensure contractual arrangements are aligned with risk appetite and regulatory requirements.

 

Transactions

·       Support corporate transactions including mergers and acquisitions, joint ventures, corporate restructurings, capital raises, and new entity formations.

·       Coordinate with external counsel, advisors, and internal teams throughout transaction lifecycles.

Compliance & Regulatory

·       Oversee compliance with UAE corporate laws and relevant international regulations.

·       Monitor regulatory developments and assess their impact on business operations.

Risk Management

·       Identify, assess, and advise on legal risks associated with business activities, products, and services.

·       Propose risk mitigation strategies and support implementation of internal controls.

Legal Research & Analysis

·       Conduct in-depth legal research on complex corporate and commercial law matters.

·       Prepare clear legal opinions, briefs, and recommendations for decision-makers.

Litigation & Dispute Support

·       Assist in managing corporate litigation, disputes, and claims, including coordination with external counsel.

·       Support dispute resolution strategies and settlement negotiations where appropriate.

  

Qualifications & Skills

Education & Experience

·       Bachelor’s degree in Law (LLB or equivalent).

·       Admission to practice law in a relevant jurisdiction is preferred.

·       Proven experience in corporate law, with strong exposure to the UAE legal and regulatory environment (essential).

·       Experience supporting transactions and working in a client-facing or advisory setting is highly desirable.

Technical & Professional Skills

·       Strong knowledge of corporate, commercial, and transactional law.

·       Excellent analytical, drafting, negotiation, and communication skills.

·       High attention to detail with the ability to manage multiple matters concurrently.
