Job Description
insightsoftware is looking for an experienced Corporate Paralegal to support the Commercial Legal team for this fast-growing financial technology company that is based in Raleigh, North Carolina.
What will you do?
Contract Drafting & Review
- Draft, review and redline commercial agreements including customer contracts, NDAs, MSAs, partnership agreements, SOWs, order forms, vendor agreements, and the like.
- Internally negotiate routine contract terms within established guidelines and playbooks
- Identify non-standard terms and escalate complex legal issues to commercial attorneys
- Ensure contracts comply with company policies, standards, and approval requirements
Contract Support & Stakeholder Partnership
- Provide front-line support to internal business teams including Sales, Customer Success, and Partner teams on contract-related questions
- Communicate contract status, timelines, and requirements to internal stakeholders as needed
- Escalate complex legal matters to commercial attorneys as appropriate
- Oversee CLM and drive efficiency improvements to streamline workflow between internal clients and attorneys
Trademark Portfolio Support
- Help manage and track trademark portfolio in partnership with outside counsel
- Assist in coordinating with outside counsel to file and maintain trademark filings
- Keep internal stakeholders apprised of trademarks within the portfolio and relevant status
M&A Contract Integration Support
- Review and analyze contracts from acquired companies
- Assist with contract data extraction and migration into company systems
- Support assignment and novation processes for acquired customer and vendor contracts
- Help standardize and harmonize contract terms across acquired entities and products
- Document legacy contract terms and obligations from acquisitions

Qualifications
Education & Certification
- Bachelor's degree OR Paralegal Certificate from an accredited program
Experience
- Minimum 5-8 years of global in-house corporate paralegal experience
- Experience drafting, reviewing, and revising a wide range of standard commercial agreements (NDAs, MSAs, SOWs, order forms) and the like with minimal attorney supervision.
- Oversee the CLM, experience with LinkSquares a plus.
- Knowledge of computer-based legal research tools, particularly AI tools & resources
- Process Improvement experience - able to identify inefficiencies in existing workflows and work with legal operations to implement better systems and checklists.
- Trademark experience a plus, working with outside counsel to organize portfolio management
- M&A Diligence a plus
- French fluency a plus
