Role Of The Board
The Board is responsible for all of the endeavours of CEL and has a key role in its governance and providing oversight of Executive Management in achieving CEL’s objectives, including overseeing that procedures are put in place to ensure that CEL’s legal and regulatory obligations are met.
Summary
The successful candidate will (i) contribute to open, constructive and inclusive discussion at Board level; (ii) contribute to the Board’s collective responsibility for CEL’s strategy, governance arrangements, and regulatory compliance; (iii) offer constructive challenge to the Executive Management and contribute to evaluating the performance of both the Executive Management and the Board as a whole; (iv) augment the skills of the current Board, in particular through applied knowledge of financial markets infrastructure and electronic trading.

Responsibilities
- Attend majority of Board and Board Committee meetings in person.
- Contribute to open, constructive discussions that challenge and support Executive Management on business strategy and on its execution.
- Participate in Board Committees, including the Audit, Risk, and Compliance Committee, exercising oversight of control functions, and ensuring the company’s governance arrangements, risk management and internal controls are sufficient to ensure that legal and regulatory obligations are met.
- Monitor Executive Management's performance in meeting goals, including service delivery, operational resilience, new initiatives, and financial performance.
- Collaborate with other Non-Executive Directors and Executive Management to regularly evaluate the Board's performance and effectiveness.
- Maintain productive relationships with the UK FCA and other regulators.
Requirements
- Extensive knowledge and first-hand experience in electronic trading in equities or a related asset class, including the technology, functionalities, market dynamics etc.
- Experience in the UK and/or EU of the financial markets infrastructure ecosystem and understanding of the regulatory environment in which firms operate.
- Candidates must meet the FCA's criteria for independence, which means they should not be working in an executive capacity for, or have recently ceased working for, a customer of the firm.
- Previous experience as an INED and/or good understanding of board level governance required as an INED of a regulated entity which is also a subsidiary of a US public company.
- Excellent communication and interpersonal skills, with the ability to influence and challenge.
- Able to work as an effective and collaborative member of the Board.
- Able to make appropriate time commitment to prepare for, attend and debrief from quarterly Board and Audit, Risk and Compliance Committee meetings and any other standing Committees of the Board on an ad hoc basis – amounting to time commitment as a minimum of 20 days per year.
