Manager, Corporate Services (Corporate Services Department) – Calgary, AB

Job Summary

Reporting to the General Manager, the Manager, Corporate Services is a working corporate Paralegal, responsible for senior level Paralegal work as well as managing Corporate Services operations, including providing leadership to the Paralegal(s) and a Corporate Search Clerk. The incumbent ensures the Paralegal(s) and the Corporate Search Clerk are fully utilized, workload is evenly distributed, client deadlines, filings and renewals are monitored and handled in a timely manner and high quality, cost-effective and efficient professional services are provided to the firm’s lawyers and their clients. The candidate will have a strong work ethic, be collaborative, professional, adaptable, positive and interested in their work. 

Work Environment

Hybrid remote work arrangements are available with requirements as per business needs for onsite office support. The successful candidate must live in or around Calgary, AB and be able to commute to the office as often as required. While this is a hybrid role, the majority of the work may be onsite.

Fasken Calgary has a mandatory requirement of three (3) days in office and up to two (2) days remote, work permitting. In-office requirements are subject to change, based on business needs as determined by the Firm’s Management.

Standard core hours of work for the business are from 8:00 a.m. to 5:00 p.m.. As management, there are no set hours; however, this role is not overtime eligible and some flexibility will be required within the Firm's core business hours to meet the needs of the department. Some evening and weekend support may be required from time to time.

Primary Responsibilities

Management Responsibilities:

  • Paralegal(s) and Corporate Search Clerk: Assists in recruiting and participates in new hire orientations; provides guidance, motivation and direction; solicits regular feedback regarding performance; prepares performance reviews (probationary and annual) and addresses performance issues as they come up; works with HR, in cases where disciplinary action is required; leads regular meetings with team; and approves overtime and vacation.
  • Workload Allocation: Oversees workload among Paralegal(s) and Corporate Search Clerk. Proactively identifies upcoming client events (e.g., closings) where Paralegal support may be required and coordinates the allocation of resources based on skill and availability. Follows up with lawyers and takes corrective action as required. Clarifies Paralegal and Corporate Search Clerk time on files to billing lawyers and recommends premiums and write-offs.
  • Miscellaneous: Assesses department practices and processes to improve efficiencies and look for continuous improvement.

Senior Corporate Paralegal Responsibilities:

  • Drafting corporate documents including agreements, resolutions, complex share provisions, documents for various types of transactions including corporate and tax reorganizations, documents relating to incorporation and organization, amalgamations, complex amendments, continuances and dissolutions.
  • Assisting lawyers on complex transactions.
  • Attending meetings with clients and lawyers to review documents and provide technical assistance.
  • Conducting due diligence and minute book reviews and preparing reports outlining issues and deficiencies.
  • Drafting closing agendas.
  • Assisting with closings.
  • Assisting with collection and drafting of checklists and precedents.

Required Knowledge and Experience

  • A Paralegal diploma is required; however, an equivalent combination of education, lived experience, and professional expertise will also be considered.
  • CORES III accreditation is required.
  • A minimum of 10+ years of Paralegal experience (large firm experience preferred).
  • Previous supervisory or managerial experience is required.
  • Proficiency with MS Office, including Word, Excel, PowerPoint and Outlook.
  • Extensive knowledge of the Business Corporations Act and the Canada Business Corporations Act.
  • Experience with ALF database is considered an asset.
  • Excellent verbal and written communication skills.
  • Comfortable with using and learning technology.
  • Strong attention to detail and accuracy.

The salary range for this position varies based on market rates and experience levels of the qualified candidate.
