Minimum Qualifications:

  • Bachelor's degree in Accounting or Finance, or equivalent practical experience.
  • 10 years of experience in tax.
  • Experience with U.S. federal and state income tax.

Preferred Qualifications:

  • Experience in ASC 740, Accounting for Income Taxes.
  • Experience in memo writing, research, and managing Mergers and Acquisitions process.
  • Understanding of international tax (cross-border) implications of transactions and knowledge of tax accounting principles with tax-free reorganizations, corporate restructurings, and spin-offs.
  • Ability to streamline processes, develop repeatable framework, and organize data/support to facilitate efficient collaboration.
  • Ability to analyze tax issues and develop effective solutions and excellent project management, organizational, and people-management skills.
  • Ability to lead and manage a team of tax professionals, business stakeholders and build trust with stakeholders.

Google's in-house tax team knows all things corporate tax. Made up of smart, perceptive Googlers with a flair for domestic, international, and sales and use tax, the knowledge and expertise of this team runs deep. You have years of experience in this field and an extensive knowledge of those tax issues most relevant to internet companies. While we don't give our Googlers individual tax advice, you make it easy for Googlers to get what they need to make good tax decisions. You find ways to work smarter by streamlining and automating our tax processes and systems, and find ways to be both innovative and compliant.

The Mergers and Acquisitions (M&A) Tax Manager will play a pivotal role in advising business units and internal stakeholders on the tax implications of corporate M&A and investment transactions. In this role, you will manage and lead a collaborative tax team to execute all tax aspects of the M&A agreement life-cycle, from initial due diligence and tax structuring to post-acquisition integration, and advise on investment reviews with our subject matter experts. You will require technical expertise, project management skills, and the ability to lead cross functional collaborations.

The US base salary range for this full-time position is $165,000-$245,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Responsibilities

  • Manage and lead collaborative tax teams to perform tax due diligence on potential acquisitions and investments identifying key risks and opportunities. Act as the primary tax point of contact for business units, Legal, Corporate Development, M&A Finance and other internal stakeholders throughout the transaction process.
  • Provide guidance on transaction structures for M&A transactions and investments. Draft or review tax calculations to assess the financial impact of transactions, including transaction cost, Sec. 382 analysis, and tax basis step-ups.
  • Provide expert tax commentary on purchase agreements investment term sheets and other legal documents to ensure alignment with business objectives and to mitigate tax risks.
  • Collaborate with our tax reporting team to ensure proper inputs are provided to calculate the tax provision and file tax returns.
  • Lead collaborations on tax integration efforts for acquired entities.
