About The Opportunity:

The Senior Corporate Counsel, M&A and Securities provides a fast-paced, global organization with legal advice and solutions focused on optimizing business growth and organizational efficiency, while appropriately managing risk. In this role you will collaborate closely with the corporate development team and various cross functional groups on strategic transactions from inception to completion, including acquisitions, dispositions, joint venture investments, commercial lending transactions and securities offerings. Your responsibilities will include overseeing NDAs, deal structuring, negotiations, due diligence, drafting, signing, and post-deal integration and compliance. You will also be responsible for collaborating cross functionally to drive process improvements and enhance operational efficiency in deal execution. Additionally, you will partner with key finance departments, including treasury, tax, accounting  and real estate on strategic initiatives. Additionally, this role includes assisting with the company’s compliance with federal securities laws and state corporate laws as well as New York Stock Exchange and other similar corporate regulations. 

The Successful Candidate Will:

  • Provide strategic counsel for the company’s global acquisitions and investments
  • Collaborate closely with the company's legal and business development teams worldwide on M&A and finance transactions and related projects
  • Support senior management on all matters related to M&A, including due diligence, regulatory compliance, and integration planning
  • Support financing and capital markets transactions globally, including bond offerings and commercial lending transactions 
  • Assist the Deputy General Counsel on securities compliance matters, including the preparation, drafting and filing of SEC Forms 10-K, 10-Q and 8-K
  • Manage external legal counsel involved in strategic transactions 
  • Advise business leaders on legal risks and propose business oriented solutions

Desired Experience Required

The role requires a Juris Doctor degree and U.S. bar admission. Candidates should have at least 8 years of related law firm or in-house experience as an attorney. Essential skills and knowledge include:

  • Experience drafting and negotiating M&A transaction documents.
  • Familiarity with Delaware corporate law, corporate governance requirements, and best practices.
  • Familiarity with securities law compliance and '34 Act drafting experience.
  • Relationship building, communication, and influencing skills to strengthen alignment with colleagues and other corporate functions.
  • Experience and knowledge of REIT regulations.
