In this role, you will support the Commercial and Investment Bank’s Securitized Products Group business in the Americas.  You will partner with the Securitized Products businesses on the firm's relationships with clients and create innovative solutions for complex financings and securitizations involving asset-backed securities, residential mortgage-backed securities and commercial mortgage-backed securities (CMBS) transactions, with a particular focus on CMBS. 

As a Securitized Products Group Attorney – Vice President, Assistant General Counsel within the Commercial and Investment Bank’s Securitized Products Group, you will be joining a successful, versatile, well-established legal team that supports the Securitized Products business (and the Commercial & Investment Bank more generally) and collaborates daily with banking, markets, regulatory and other lawyers across JPMorgan’s legal department, as well as compliance, risk, conflicts and operations partners.  If you are intellectually curious and have a passion for driving solutions, you may be the perfect fit for our team.

Job Responsibilities

  • Advise the Securitized Products businesses on all relevant legal and regulatory matters and relevant securities laws applicable to public and private offerings of securitizations, including, Regulation AB/AB II, Rule 192 and the credit risk retention rules, as well as related structuring, reputational and litigation risk mitigation issues.
  • Serve on certain underwriting and/or engagement committees.
  • Review and negotiate full range of documentation relating to securitizations, including underwriting documentation, private placement, engagement and confidentiality agreements.
  • Supervise external counsel, handle various knowledge management and other projects to support the internal legal team and assist bankers in providing clients with potential financing and securitization products and services.
  • Work closely with a team of internal lawyers and interact with bankers, compliance partners, the conflicts office and external counsels on a wide range of matters relating to regulatory risks and developments, new regulatory implementation and new business initiatives.

Required qualifications, capabilities, and skills

  • Juris Doctor (JD) or educational equivalent required. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment.
  • Minimum of 5 years of legal experience, with experience working as a capital markets attorney or securitized products attorney in a law firm or equivalent in-house position at a financial services firm. Experience with CMBS transactions, and interest, and established work experience, in other asset classes, such as consumer, esoteric and residential mortgage, is strongly preferred. 
  • Familiarity with securities counsel opinions, accountants’ comfort letters and relevant accounting issues, tax and ERISA. Familiarity with bankruptcy laws a strong plus.
  • Excellent oral and written communication skills.
  • Strong drafting and negotiation skills.
  • Proven ability to learn about and understand sophisticated financial transactions and products and to navigate complex legal, business and conflicts issues.
  • Proven ability to interact effectively with clients and with all levels of an organization both internally and externally.
  • Proven ability to work independently and multitask successfully in a demanding, fast-paced transactional environment.
