What We're Really Looking For
We’re seeking our first in-house lawyer to support fund operations and venture investments from formation through scale and eventual financings and exits. You’ll partner with the investment team, finance, incubations and portfolio companies to manage contracting, transactions, cap-tables, risk mitigation, and keep the organization running smoothly while enabling speed.
Key Responsibilities
- Family office & holdco matters: Advise on entity structuring, intercompany agreements, governance formalities across TriEdge and operating subsidiaries.
- Incubation company formation & financings: Form and maintain newco entities; draft founder/employee equity docs; lead/quarterback seed and growth financings for incubations, including SPVs and co-invests; coordinate diligence, disclosure schedules, and clean closings.
- Investor documentation (incubations): Own investor-side paperwork for incubation raises—subscription agreements, side letters/MFNs (if any), information and inspection rights, transfer/secondary paperwork, consents/notices, and cap call/distribution mechanics for SPVs—working closely with finance.
- Cap table & ownership management (portfolio): Maintain source-of-truth cap tables for incubations and direct venture positions—reconcile against closing docs, model dilution and pro rata, track rights, and surface decision points ahead of rounds and exits.
- Exits & liquidity: Support M&A processes, tender offers, secondaries, and IPO-related matters (lock-ups, transfer restrictions, information rights).
- Vendor contracting: Own the end-to-end lifecycle for TriEdge’s vendor agreements—scoping, drafting, negotiating, and routing for approval; maintain a clause library and renewal calendar; and drive signature/record-keeping so nothing lapses. Draft/review NDAs, vendor/MSAs, data-processing agreements; maintain contract templates and clause library. Build playbooks and fallbacks that protect IP, indemnities, liability caps, and privacy
- Customer contracts: Draft, negotiate, and quarterback commercial agreements with our clients/partners (MSAs, order forms, SOWs, licensing and data-use terms). Build playbooks and fall-backs so the business can move quickly while protecting key positions (IP, indemnities, liability caps, privacy).
- Employment & compensation programs: Partner with human resources/finance to design and maintain cash comp and equity programs across TriEdge and incubations—offer letters, incentive plans, and equity plans; size option pools, coordinate 409A valuations, draft plan docs and grant agreements, manage board approvals and refreshes, and ensure compliance with pay-transparency, wage/hour, and post-termination equity rules.
- Hypha legal SME: Serve as the embedded legal subject-matter expert for Hypha as we build out legal skills—translate legal workflows into product requirements, define guardrails and governance (privilege, retention, redaction), curate training materials/prompts, and validate outputs for accuracy and risk.

- Governance & risk: Manage board and observer appointments; update policies (code of ethics, valuation policy, insider trading, cybersecurity); oversee incident response playbooks.

- Enablement: Build self-serve playbooks, checklists, and training for the investment team and founders.

Who You Are
- 8+ years experience (law firm and/or in-house), including experience at a VC, growth equity firm, or high-growth startup.
- Familiarity with entity formation and negotiations, or eagerness to learn quickly.
- Strong deal management skills across multiple concurrent transactions.
- Clear, pragmatic communication; business-first judgment; low-ego collaboration.
Location
TriEdge is an in-person team with offices in Hudson Yards, New York. This role is expected to be in office Monday - Thursday, working remotely on Fridays. Some infrequent travel may be required.
Pay Transparency
The annual base salary range for this position is $180,000 – $225,000, which does not include discretionary bonus compensation or our comprehensive benefits package. Actual compensation offered to the successful candidate may vary from posted hiring range based upon work experience, education, and/or skill level, among other things. This role is eligible for an annual performance bonus.
