We are a small, friendly governance team supporting a private company that forms part of a wider group of central securities depositories.  We are currently undergoing a multi-year transformation programme—making this an exciting time to join.

In this senior role, you will provide expert company secretarial and governance support. You will act as joint second-in-command within the team and will have at least one junior colleague reporting to you. You’ll also be expected to step up as team lead during periods of absence.

Strong relationship-building skills and an understanding of the wider business context are essential.

This vacancy arises due to the retirement of a valued senior team member. A short handover period is anticipated, and you will meet the incumbent during the interview process.

 

Key Responsibilities:

  • Proactively manage several committees, with support from a junior team member—ensuring effective preparation, administration, and follow-up.
  • Understand the subject matter discussed at committee level, engaging with executives and presenters, and providing meaningful support to Chairs.
  • Draft and present governance papers to committees.
  • Navigate both company law, governance best practice and business-specific regulatory requirements, applying these to your work.
  • Lead and contribute to governance projects and processes, driving improvements and promoting efficient, proportionate practices.
  • Suggest enhancements to templates and procedures, including through technology.
  • Provide guidance to directors on their duties—during induction and as needed.
  • Advise stakeholders on corporate governance matters.
  • Respond to internal and group-wide governance queries in a timely manner.
  • Ensure compliance with company policies and all relevant legal, regulatory, and professional standards.
 

About You:

  • CGI (formerly ICSA) qualified or a UK-qualified lawyer with at least 8 years’ experience in Board and committee support and corporate governance.
  • Experience supporting Executive Committees and implementing subsidiary governance frameworks is desirable.
  • Ideally, you will have worked in financial services or another regulated sector.
  • Confident managing all aspects of committee support with minimal supervision and engaging with senior stakeholders.
  • Skilled in minuting complex discussions and understanding the Companies Act, Corporate Governance Code, and financial services regulation.
  • Proficient in Microsoft Office; experience with Diligent Entities (Blueprint), Diligent Boards, and SharePoint is advantageous.

Key Competencies:

  • Strong written and verbal communication skills, with confidence engaging senior executives and non-executive directors.
  • Detail-oriented, with the ability to explain governance requirements clearly and accurately.
  • An interest in business drivers and the context in which the team operates.
  • Confident dealing with unfamiliar matters, conducting appropriate research and reaching conclusions.
  • Organised, responsive, and able to manage competing priorities effectively.
  • Able to produce high-quality work quickly and accurately.
  • Willing to mentor and support junior colleagues.
  • Experience in professional services delivering governance support to clients is a plus, but not essential.
