Role Overview

The Corporate Counsel role will be based in Denver, Colorado, reporting to either the Managing Director or Vice President of Legal, as well as working closely with the other members of the U.S. legal team and broader international legal teams. This position offers an exciting opportunity to work on a variety of legal and business matters, including venture capital transactions, M&A, commercial agreements, and general corporate governance matters.

You will be providing legal advice that involves addressing an enticing blend of cutting-edge transactional, financial reporting and other cross-border issues. This role is perfect for someone looking to make a significant impact in a global organization while working on diverse and challenging legal matters.

Key Responsibilities

  • Support legal matters associated with, and provide legal advice with respect to, minority investments, venture and angel capital investments and dispositions.
  • Act as a primary in-house resource on U.S. elements of cross-border mergers and acquisitions.
  • Provide substantial support for the company’s strategic and transformational capital markets transactions.
  • Assist and support on internal corporate restructures and corporate formations; shareholder and board actions and issues; prepare and review documents for dispositions and acquisitions. 
  • Review documents prepared by paralegal and outside lawyers.  Research US corporation laws, prepare minutes/resolutions for actions, and monitor compliance for US subsidiaries, including bylaw and officer updates.
  • Review, revise, and advise on in-bound and out-bound non-disclosure agreements for a variety of transactions.
  • Provide support and advice on commercial contracts.  Includes drafting and negotiating all types of commercial contracts impacting the Denver executive office and working closely with European colleagues.
  • Assist in corporate secretarial services for over 140 subsidiaries.
  • Manage, monitor, and assist in litigation matters, including with respect to commercial disputes, intellectual property rights, and tax matters.
  • Aid the legal team in the preparation of legal decks and presentations.
  • Assist in the management of external legal resources.
  • Work with the Legal team to understand and manage cutting edge legal developments such as Artificial Intelligence, Cloud issues, Cybersecurity, de-regulation initiatives, etc.
  • Keep abreast of relevant legal and current developments within the business and in the legal and regulatory environment, in order to provide the highest quality legal and commercial support to the M&A and ventures teams.
  • Support senior lawyers with other general corporate matters, including intellectual property rights, compliance, and corporate governance.

Qualifications

  • Licensed to practice law in Colorado or other U.S. State
  • 4 to 7 years of experience in with mergers and acquisitions and/or venture capital investments in private practice at a well-known law firm

  • Ability to comprehend and interpret policies, procedures, laws, regulations, and guidelines
  • Ability to take direction and guidance
  • Ability to build credibility and work seamlessly across all areas of the business
  • Project management skills involving tight timescales
  • Ability to juggle and prioritize multiple matters
  • Experience working in a global matrix environment and partnering with business groups such as finance, treasury, strategy, and corporate development
  • Strong moral/ethical convictions
  • Results-driven, detail-oriented, and highly organized
  • Ability to travel
