Job Description
DESIGNATION/ TITLE - Deputy Manager/Manager - COMPANY SECRETARY AND LEGAL
REPORTING TO -Managing Director LOCATION Bangalore
OBJECTIVE - Responsible for the Secretarial Functions of TSI along with Legal Assistance to the business
Roles And Responsibilities:
The job encompasses but is not limited to the following Roles and Responsibilities:
➢ Perform overall Secretarial functions including conducting meetings, drafting documents, Agendas, and managing corporate law compliance, requirements & related activities.
➢ Act as a go to point in legal and compliance matters for the Group locally in India
➢ Proficient in assisting the Managing Director and the top Management of the company in all functions including documentation, sending e-mails, arranging board meetings, and disseminate information.
➢ Capable of Representing the company and other connected persons before various boards and forums including but not limited to RBI, Registrar of Companies, Consumer Forums, and Other quasi-judicial bodies. Liaised with Statutory / Internal Auditors along with external regulators and advisers, such as lawyers.
➢ Experienced in coordinating with RTA, NSDL/CDSL.
**Any other responsibility as per discretion of management.
Technical
➢ Well-versed with the Companies Act 2013 and the Rules, requirements of the Secretarial Standards, etc. & abreast and updated with the amendments thereto.
➢ Support of the MD in his compliance role within the local organization
➢ Coordinate, support and advise on the implementation of group legal and compliance initiatives at local level (such as GT&Cs, Supply GT&C, Code of Business Conduct trainings, etc.) in alignment with the central team
➢ Liaison with HQ on Corporate Housekeeping matters (Board resolutions, documentation, etc.) and ensuring that the company database is up to date
➢ Support the central IP team with IP registration and enforcement action in India
➢ Having experience in handling/ reviewing XBRL filings, Transfer pricing, related parties’ transactions, and filing of petitions and applications with the regulatory authorities including the ROC, RD, NCLT, etc.
➢ Excellent communication skills, as communication is required with the top management within India and the headquarters situated in Europe apart from customers, vendors, and others.
➢ Well-versed with the CSR-related Laws and provisions including exposure to Planning and Implementing Projects etc.
➢ Well-versed with POSH-related laws; and capable of reviewing legal documents such as Rent Agreements, Commercial Agreements, NDAs
➢ Exposure and well-versed with the FDI and ODI Regulations & Experience in filing Annual Reports on Foreign Assets and Liabilities (FLA), FG-GPR, DI, FC-TRS, and related matters with the RBI
➢ Good commercial knowledge in reviewing contractual documents, general terms, and conditions (GTC), reviewing, and negotiation skills from a legal perspective. Working through consultants by addressing company issues.
Qualifications
QUALIFICATION- Having a Company secretary degree with around 10 to 15 years of work experience post qualification. Additional degree in Law is desirable
