The Compliance Manager manages assigned compliance functions for the Company and supports the development, implementation, and maintenance of a regulatory compliance program through compliance activities across various lines of business, banking offices, and operating departments. The Compliance Manager Interacts with senior management in assigned areas, developing, revising, and implementing policies and procedures to ensure compliance with applicable laws and regulations. The job employs various software applications and desktop tools to consolidate reported data and analyze information to detect potential compliance issues and concerns. The Compliance Manager manages assigned specialists (as applicable) by coordinating activities and providing coaching and counseling as needed. The Compliance Manager supports the Chief Compliance Officer (CCO) in ensuring the Bank's compliance with all applicable federal rules and regulations.

The Compliance Governance & Operations Manager leads the development and implementation (or lead support) of enterprise Compliance programs, including frameworks, policies, standards and development of procedures, awareness and specialized training, monitoring, reporting and information, escalation of issues and events.

Job Description

Reporting to the Senior Manager, Global Regulatory Change & Library Governance, the Compliance Business Oversight Manager will support the Global Regulatory Inventory Governance program, including associated technology and processes.

The main focus of the role will be the facilitation of enterprise-wide oversight and governance of the global regulatory inventory process, ensuring that all Laws, Rules and Regulations (LRRs) are reasonably accurate and complete. To that end, the incumbent will work with Oversight Functions (designated Regulatory Compliance Management accountability for areas of LRRs and Risk Owners (own and operate controls to mitigate LRR risk) across TD.

This is an exciting opportunity for individuals with expertise in the field of governance, risk, and controls. Specific accountabilities include the following:

  • Perform ongoing execution of the MERLIN Regulatory Inventory feeds and manual process for sustainability of the Regulatory Inventory.
  • Establish strong working relationship with TD Technology team and third-party data provider to collaborate on activities to ensure that MERLIN Regulatory Inventory is accurate.
  • Establish strong relationships with Regulatory Change Leads and Oversight Functions, acting as a primary contact for updates to TD's Regulatory Inventory.
  • Perform oversight and reconciliation against regulatory inventory for manual intake items, and execution of manual updates to inventory.
  • Perform review of large data sets and leverage business intelligence tools to drive analysis and insight.
  • Monitor and report on compliance with the RCM Regulatory Inventory and Control Standard.
  • Identify and propose improvements to the process, opportunities to automate and streamline, and participate in improvements implementation.
  • Oversee and report issues associated with the Regulatory Inventory and Third-Party automated regulatory feeds.
  • Develop and deliver specialized/ad hoc training, as required.
  • Support testing engagements from Internal Audit, Compliance Quality Assurance, and others.

Department Overview

The Global Compliance Department is responsible for overseeing Regulatory Compliance across TDBG in accordance with the Global Compliance Department Mandate, Framework and Standards. This includes independently assessing the adequacy, adherence and effectiveness of regulatory compliance management programs and controls in the business. The department also delivers objective guidance and independent challenge to the business, proactively managing regulatory change and providing trusted and reliable reporting, advice and opinion to senior leadership and the Board on the state of regulatory compliance risks, controls, and outcomes.

As part of the Global Regulatory Change and Inventory Governance (GRICG), the team provides day-to-day support to MERLIN Regulatory Inventory.  As a second line of defense, GRICG Team is responsible for the oversight and monitoring of TD Regulatory Inventory Feeds; governing the processes to support the reasonable accuracy and completeness of the Regulatory Inventory; driving a consistent, adaptable, and effective program across Oversight Functions and Risk Owners; overseeing adherence to the RCM Regulatory Inventory & Control Standard.

Job Requirements

  • Good understanding of Compliance processes and regulatory environment, including how various LRRs may be structured and Oversight Functions with RCM accountability
  • Knowledge of relevant legislation, regulations, and industry standards, as it applies to Banking, Securities, Insurance, Prudential, Finance, HR, etc.    
  • Experience with coordination of processes involving multiple groups and stakeholders, ensuring that activities are completed timely and efficiently
  • Perform reconciliation against regulatory library for manual intake items, and execution of manual updates to library.
  • Experience analyzing large data sets and leveraging business intelligence tools to drive analysis and insights
  • Experience with implementation of process improvements – understanding of technology implementation lifecycle, ability to articulate business requirement for Technology
  • Strong analytical and problem-solving skills with strong attention to detail to drive problem framing and solutioning
  • Able to breakdown and describe technical concepts in business terms and frame questions in the correct context for the audience

Our team currently operates under a hybrid work model, with employees expected to work in the office two days per week. Starting in November 2025, this expectation will increase to four days per week. Scope:

  • Manages the performance of independent compliance reviews that measure adherence to federal and state law regulatory requirements impacting business lines, as well as compliance reviews of compliance units (CUs) within Compliance Risk Management (CRM) to ensure compliance with CRM mandates and CRM/CU internal policies and procedures
  • Designs and ensures execution of risk-based compliance reviews and ensures work is performed in accordance with Compliance Process Certification methodology and consistent with Compliance Risk Managements objectives and standards
  • Serves as initial reviewer/approver of assigned business line self-monitoring work papers
  • Identifies and analyzes issues to determine root causes
  • Conducts regulatory research that may involve internal or outside counsel or third party assistance
  • Stays current on regulatory changes, and changes to CRM mandates and internal policies and procedures to understand impact and ensure compliance review procedures are updated as appropriate
  • Works closely with management of other areas within Compliance Risk Management as well as routinely interacts and maintains highly effective partnerships with line of business management and staff
  • Prepares reports of findings and presents to senior compliance and business line management, as well as heads of compliance units as applicable
  • Provides assistance, support and management of other projects as assigned
  • May serve as primacy compliance contact and coordinates the compliance function for assigned line of business through the development and monitoring of compliance programs within the larger compliance framework developed
  • Manages vendor management process for any vendors utilized by assigned team
  • Oversees the planning, creation and maintenance of Corporate compliance database(s) to collect, manage and report information required by management
  • May lead a team of specialists
  • Oversees the performance of specialized programming tasks requiring technical proficiency in such areas as database programming languages, process automation, and HTML programming
  • May manage the resolution of compliance-related problems encountered by various areas of the Company as related to the most critical laws and regulations
  • Serves as final reviewer of RIMS and implementation documentation (except BLMs)
  • Assists in the review of conversion/merger issues and develops any notices and/or disclosures necessitated by the conversion/merger

Education & Experience:

  • Undergraduate degree or equivalent work experience
  • 7+ years of experience

Preferred Skills:

  • University degree, Law degree (JD or LLB) preferred
