Position Summary

We are seeking a mid-level associate with private equity experience to join the PE/ M&A practice in our New York office.

This role will advise sponsors and their portfolio companies in connection with mergers, acquisitions, divestures, JVs, corporate restructurings, and general corporate matters.

As well as possessing excellent academic credentials and legal knowledge, you should also be commercially minded, with a solid grasp of the market. Ideal candidates should have excellent drafting, writing and analytical skills, strong attention to detail, organizational, verbal, interpersonal and project management skills. Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents and otherwise meeting the day-to-day requirements of private equity fund and portfolio company clients is expected.

Duties And Accountabilities1

  • Represent private equity sponsors in M&A transactions and other investment deals.
  • Draft and negotiate complex transaction documents.
  • Supervise and train junior associates involved in transactions.
  • Manage the execution of deals from inception to closing.
  • Provide strategic legal advice to private equity sponsors and portfolio companies.
  • Collaborate with internal teams and clients to ensure smooth transaction processes

Qualifications

  • 4+ years of predominantly private equity experience
  • A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school
  • Admitted to the New York bar (or the ability to become admitted) and in good standing
  • Strong academic record and intellectual curiosity, creative thinker
  • Commercial and business awareness

  • Strong time management skills, ability to stay calm under pressure when juggling multiple projects
