Position Overview:
Bernau Capital Partners is seeking a detail-oriented and experienced Corporate Paralegal to join our legal team in West Des Moines. With more than 1,500 employees and counting, Bernau Capital Partners is a private equity firm and family office that owns a growing portfolio of operating companies and commercial real estate properties across the United States.
This role will support attorneys and executives in mergers and acquisitions, real estate transactions, and other corporate matters. The ideal candidate will have a strong background in transactional law, excellent organizational skills, and the ability to manage multiple priorities in a fast-paced environment.
Key Responsibilities:
Key Responsibilities Include The Following:
- Assist with all phases of M&A transactions, including due diligence, document preparation, closing coordination, and post-closing integration.
- Support real estate acquisitions, including lease analysis, and coordination with external counsel and title companies.
- Draft and manage corporate documents such as operating agreements, resolutions, consents, and entity formation filings.
- Maintain corporate records and ensure compliance with state and federal regulations.
- Coordinate and track closing checklists, signature pages, and deliverables.
- Conduct legal research and summarize findings for attorneys.
- Liaise with internal departments, outside counsel, and regulatory agencies.
- Manage data rooms and organize transaction documentation.
Qualifications:
- Minimum of 5 years of experience as a corporate paralegal, with a focus on M&A and real estate.
- Bachelor’s degree or paralegal certificate from an ABA-approved program.
- Strong understanding of corporate governance, entity management, and transactional processes.
- Proficiency in Microsoft Office Suite and legal document management systems.
- Exceptional attention to detail and organizational skills.
- Ability to work independently and collaboratively in a team environment.
- Excellent written and verbal communication skills.
Preferred Skills:
- Experience with multi-entity structures.
- Familiarity with corporate and real estate law.
- Experience supporting closings for commercial real estate and asset purchases.
