About the team and position
Carvana’s Capital Markets & Finance Legal Team is a high-performing team of transactional attorneys who work where law, finance, and innovation meet. We partner shoulder-to-shoulder with Carvana’s Capital Markets & Finance business unit to design, execute, and optimize the company’s funding strategy, including our asset-backed securitization program, warehouse financing, and forward-flow arrangements. From advising on deal structure and disclosure to negotiating complex transaction documentation and managing outside counsel, we operate as true thought partners, continually re-engineering processes to help scale the business with confidence. We are seeking candidates who are motivated by solving novel challenges, value collaboration within a true team environment, and aspire to make a meaningful contribution to the company.

This is a fully on-site position, Monday through Friday, at our corporate HQ in Tempe, Arizona.

What you’ll be doing 

  • Serve as primary internal counsel on a broad spectrum of financing transactions, including SEC-registered and private asset-backed securitizations, warehouses, floorplan financing, unsecured and secured note offerings, forward-flow and whole-loan sales, and other bespoke funding structures in support of the company’s loan monetization efforts.
  • Draft, review, and negotiate core and ancillary transaction documents, public disclosure, term sheets, engagement letters, opinions, and other documentation.  
  • Partner daily with Carvana’s capital markets, finance, treasury and accounting functions along with internal and external lawyers, and all parties to our financing transactions to structure transactions, coordinate diligence and ensure compliance with the wide-ranging rules and regulations that affect financing transactions.
  • Manage relationships with banks, asset managers, rating agencies, trustees, servicers, and other external stakeholders; select, supervise, and evaluate outside counsel, and drive alignment on strategy, budget, timeline, and deliverables.
  • Monitor market trends, regulatory developments, and investor sentiment in the structured finance and capital markets industries. Translate insights into actionable recommendations that inform Carvana’s funding roadmap and enhance the company’s risk-management posture.
  • Design and implement scalable, tech-enabled and AI-assisted legal workflows that streamline documentation, improve data integrity, and reduce execution risk across the deal lifecycle.
  • Provide real-time, business-oriented advice to senior leadership on capital markets strategy, covenant compliance, disclosure obligations, rating agency queries, and other finance-related matters.
  • Contribute to a culture of continuous improvement by mentoring teammates, sharing best practices, championing innovative legal operations tools and approaches, and embracing responsibility for results by being transparent about challenges and focusing on solutions.

What you should have/know

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar required.
  • 2-5 years of experience at a leading law firm representing issuers, underwriters, lenders, or sponsors in structured finance, capital markets, and/or various other forms of debt finance transactions; similar in-house experience is also considered a plus. 
  • Demonstrated ability to meaningfully contribute to complex financing transactions.
  • Familiarity with the wide-ranging rules and regulations governing asset-backed securitization, debt financing, and loan monetization transactions.
  • Sophisticated verbal and written communication skills capable of translating intricate legal concepts into concise, actionable guidance for stakeholders at every level of the organization.
  • Exceptional judgment, commercial acumen, and ability to thrive under pressure while managing multiple, time-sensitive transactions in a dynamic, high-growth environment.
  • Tech-savvy, with enthusiasm and willingness to leverage automation and AI to drive efficiency and accuracy throughout the deal process.
