DEPARTMENT/ROLE: Associate Counsel - Corporate
Job Roles And Responsibilities:
- Provide legal and business counsel and support to:
- VP, Associate General Counsel & Corporate Secretary;
- SVP and General Counsel;
- Executive Leadership Team;
- Accounting, Finance Investor Relations, Marketing, Treasury and Talent & Growth personnel; and
- to other departments including, but not limited to, Sales and Account Management, Operations, Network Development, and
- Function as a Legal Department resource with respect to all securities, board, corporate governance, debt, executive compensation, entity management (including international), strategic transactions (M&A, joint ventures, strategic alliances, etc.) matters and functions:
- Assist in the preparation and filing of all SEC filings, including the Company’s 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related
- Contribute to public company communications, including press releases, social media posts, investor slide decks and investor
- Advise senior management, including leaders in accounting, finance, and investor relations, with respect to disclosure matters and NYSE, SEC and corporate law requirements, including Reg
- Assist with development and administration of policy and procedures related to all securities matters, including Insider Trading Policy, and related equity
- Provide legal support for securities-related transactions including public offerings and other
- Assist with planning and executing Company’s Annual Meeting of
- Support public company secretarial function, including assisting with the preparation of board and committee materials, and advising with respect to corporate governance best
- Assist in the management of the corporate secretarial/entity management function for subsidiaries, including international.
- Assist in the operation of the Company’s Employee Stock Purchase Plan, Equity Plan, and corporate responsibility program.
- Assist in the training of Legal Department staff and of other departments regarding use of materials related to securities and other related
- Assist in transactional matters, including M&A, joint ventures, strategic alliances, complex contracts (e.g., joint development agreements, complex technology transactions) and other similar transactions.
- Assist with intellectual property, real estate, and licensing matters.
- Assist in international/cross-border operations, including entity management and transactional work.

JOB REQUIREMENTS (Education, Experience, and Training):
- Minimum Juris Doctorate
- Minimum 5 years’ experience related to legal practice including a background in public company securities work, including the '33 Act and '34 Act, corporate governance, and SEC and SOX compliance.
- Experience in debt agreements, publicly-traded bonds, de-SPAC transactions, public company board matters, equity programs, employee stock purchase plans, corporate responsibility and entity management a plus. Healthcare and/or technology experience also a plus.
- Experience in transactional work, including M&A, joint ventures, strategic alliances, complex contracts (e.g., joint development agreements, complex technology, or IP transactions) and other similar transactions.
- Experience with international/cross-border entities, operations, and transactions
Compensation
The salary range for this position is $175k-$185k. Specific offers take into account a candidate's education, experience and skills, as well as the candidate's work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
