Join us as a Senior Governance Manager
- We’ll look to you to provide professional corporate governance advice and Company Secretarial support to our bank and subsidiary companies to deliver their strategic objectives
- Day-to-day, you’ll oversee ingoing legal entity management and act as a secretary to legal entity Boards, provide guidance about our governance framework, company compliance considerations such as incorporation, dissolution and the execution of documents and drive a consistent approach to meet our bank’s policies

What You'Ll Do
As a Senior Governance Manager, you’ll offer advice on a range of corporate governance and company compliance matters for our legal entities, while identifying opportunities to improve and streamline our Corporate Secretaries Services operations and delivering excellent service to our stakeholders.
Alongside this, you’ll manage relationships with, act as a point of contact to stakeholders in particular in relation to offshore compliance and entity management matters. You’ll also ensure that the statutory records of our businesses are maintained in line with legal and regulatory requirements.
Your Top Priorities Will Include:
- Leading on corporate governance activities and projects that are relevant to the job
- Advising on legal entity management and compliance issues, including for our offshore entities in jurisdictions such as Jersey, Guernsey and the Isle of Man
- Operating in line with our policy framework and supporting our bank to comply with our corporate governance policy, subsidiary governance framework and regulatory requirements
- Keeping up to date with all relevant legal and regulatory developments to ensure that local policies are updated accordingly
The Skills You'Ll Need
To be successful in this role, you’ll need knowledge of our bank’s structure, its businesses and key issues facing the businesses and the ability to manage highly confidential information in a discreet and professional manner.
In addition, you’ll need a strong understanding of the company secretarial and regulatory environments, pertaining to large and complex financial services organisations.
Furthermore, You’Ll Need:
- To be a fully qualified Company Secretary or Lawyer or have substantial experience in a Company Secretary or Corporate Governance role within financial services
- To be a collaborative team player that’s capable of building good working relationships up to an executive level across the bank
- Excellent collaboration, verbal and written communication, presentation and organisational skills
- The ability to manage multiple tasks, anticipate problems, react to changing priorities, challenge others and assert your views when required
- Experience of producing comprehensive and clearly structured minutes or briefings
