Overview
The Head of Enterprise Governance is responsible for enhancing MUFG Pension & Market Services (“MPMS”) governance framework, ensuring robust oversight, transparency, and accountability across all levels of the business. This role will drive best practices in corporate governance, support the Board and its Committees, Management Committees and ensure compliance with MPMS’ Delegations of Authority which include parent consents/approvals (including those that relate to the Financial Services Agency of Japan (JFSA)).Key Accountabilities and main responsibilitiesStrategic Focus
- Maintain and enhance the ongoing evolution of MPMS’ governance framework to support strategic objectives, regulatory compliance, and operational effectiveness across EMEA and APAC, identifying opportunities for continuous improvement.
- Drive governance transformation initiatives, including digitisation, policy harmonisation, and cross-border governance integration.
- Provide strategic advice to the GM External Affairs & Group Governance, senior leaders, and the Board on governance matters.
- Serve as Company Secretary (and oversee local secretariat support) for regional Boards and Committees.
- Support Board effectiveness reviews and director onboarding across jurisdictions.
- Manage the global subsidiary governance framework, including regulated subsidiaries.
- Maintain registers and compliance requirements of subsidiaries, including regulatory notifications.
- Lead reviews of the global entity structure and progress de-registration of dormant entities.
- Maintain fit-for-purpose governance frameworks and terms of reference for key management committees, aligned with Delegations of Authority.
- Support high-quality management committee operations, including agenda setting, minute-taking, and action tracking.
- Advise committee chairs and members on governance protocols, decision-making practices, and escalation paths.
- Lead governance training and awareness initiatives for senior management and staff.
- Liaise with internal and external stakeholders to build strong relationships and promote governance best practices.
- Manage and support a small team to ensure effective deliverables
- Ensure compliance with relevant corporate governance codes, statutory obligations, and regulatory requirements.
- Own the preparation and submission of governance-related disclosures and reports.
- Monitor and interpret governance-related regulatory developments across EMEA and APAC, translating them into actionable recommendations.
- Maintain and advise on key governance policies (e.g. Board and Committee Terms of Reference, Delegations of Authority).
- Collaborate with Legal, Risk, and Compliance teams to ensure alignment between governance and risk management frameworks.
Experience & Personal Attributes
- Proven experience in a senior governance, company secretarial, or legal role within a regulated environment.
- Strong understanding of corporate governance principles, regulatory frameworks, and board and executive dynamics.
- Experience working with Boards and senior leadership teams.
- Experience driving governance uplift in organisations, with a solutions-focused approach.
- Corporate governance qualification preferred (e.g. GIA, AICD or equivalent).
- Influential communicator and experienced stakeholder management at Board and executive level.
