Job Description
This Associate General Counsel position will support our U.S. Commercial, State/Local Government and International business, as part of America’s legal team, and will report directly to the General Counsel in the U.S. This role, as part of a small legal team in the U.S., will advise our various geographic business units on a broad range of government and commercial contracts matters in a fast-paced and collegial atmosphere. The successful candidate will join a team of professional contracts managers as well other in-house, U.S.-based attorneys and trade compliance professionals. Strong emphasis is placed on a candidate with a hands-on style who seeks to handle most legal issues in-house in collaboration
Essential Function
Job duties to include but are not limited to;
- Provide legal advice on and lead contract negotiations with state and local government, commercial and international clients, including reviewing, drafting and negotiating large complex contracts and related subcontracts, teaming agreements, and software licenses
- Assist internal clients in developing negotiation and risk mitigation strategies as part of proposal preparation, contract execution and performance
- Advise on various teaming and partner relationships as well as on issues involving (1) due diligence for reviews in connection with distributors, agents, similar channel partners, suppliers and subcontractors and (2) contract compliance
- Providing support in interpretation of complex contract provisions throughout the life cycle of a contract/program
- Maintain close working relationships with internal clients and stakeholders
- Work closely with other legal team members in connection with dispute resolution and litigation-oriented matters
- Develop, provide training on and assist in implementation of processes and policies
Qualifications
Education Requirements
Required: Juris Doctor from a leading and ABA accredited law school and a member of at least one State Bar
- Preferred: Practicing at a reputable national law firm and/or in-house required
- Years of Experience: 8-10+ years of experience
- Education Level: Juris Doctor

The compensation for this position ranges from $88,000- $201,312/yr and will vary depending on factors such as your location, skills, job-related knowledge, and experience. The compensation package may also include incentive compensation opportunities in the form of discretionary annual bonus or commissions.
