About The Role
We are looking for a junior Corporate Counsel (1-3 years PQE) to join our award-winning Legal, Risk & Compliance team. Based in our Sydney office (hybrid), you will drive strong legal, governance, risk and compliance outcomes across our global businesses.
Your focus will be to ensure the Group meets its corporate, statutory and regulatory obligations and elevates its governance practices across operational (Eg company secretarial, KYC, risk) and strategic matters (e.g. M&A).
Requirements
What does a day in the life look like?
No day is ever the same and that's the way we like it! Reporting to the Group General Counsel & Company Secretary, your responsibilities will include:
- Ensure compliance with global regulatory frameworks, including the Corporations Act and ASIC in Australia and the equivalent in UK, Asia and US.
- Maintain governance records, statutory registers and support subsidiary governance globally (including liaison with external providers).
- Contribute to the preparation and lodgement of regulatory filings, annual reporting, and governance framework development.
- Provide assistance to colleagues globally with KYC requirements, documentation, and related compliance processes.
- Draft corporate resolutions, minutes and assist with coordination of Board and Committee meetings and processes, as needed.
- Support the maintenance and development of the Group’s ERM framework, including drafting policies, procedures, and business continuity plans.
- Assist Legal team members on an ad hoc basis with commercial contracting of live sports and entertainment events and ticketing, as well as strategic initiatives such as M&A.
About You
- Admitted as a legal practitioner in NSW (or other Australian State).
- 1-3 years’ PQE in legal corporate advisory, company secretarial, governance, risk or compliance in a large law firm or equivalent.
- Strong knowledge of the Corporations Act and corporate governance principles.
- Familiarity with Board operations and governance frameworks.
- Excellent verbl and written communication skills.
- Continuous improvement mindset to find innovative ways to work and resolve problems.
- Confidence liaising directly with a wide range of senior stakeholders.
Desirable:
- Experience in a listed or regulated environment highly regarded.
- Progress toward or completion of a Governance Institute of Australia qualification (or equivalent) preferred.
- Proficiency in Board portal and governance technologies.
