The Role: Those who join us on this journey will have the chance to handle complex agreements in multiple jurisdictions for our pharmaceutical client. This is a great opportunity to build upon your existing legal and contract experience through taking on increasingly challenging negotiations as well as subject matter. This is a client-facing role where the Contract Manager is responsible for contract execution process, from receipt of the contract request through supplier signature, including reviewing, drafting, managing and negotiating a wide variety of international contracts, including IT-related contracts; as well as interfacing with the business partner (internal and external) for such activities.

Responsibilities
- Be responsible for drafting and negotiating a wide range of Commercial Contracts
- Working closely with our Client’s in-house legal departments on a range of matters such as international deals, bids, procurement, marketing, professional services, media, technology or consumer matters
- Be part of a team committed to the overall delivery of services and compliance with all delivery commitments to the client
- Active caseload management
- Adhere to all Factor delivery processes and commitments;
- Input and manage data on Factor and client systems and keep them up to date;
- Help develop contract templates, playbooks and other tools for use by the team;
- Be part of a team committed to continually improving our service to the client and adding value.
Essential Criteria

This role requires the legal knowledge to take instructions from our Clients, take appropriate action and serve as an escalation point on issues for more junior team members. It’s no small task!
- Experience in drafting and negotiating IT Contracts will be a strong asset
- Command of different contract types- MSA/MPA covering SAAS, IT services, Managed Services, IT Hardware, Off the shelf software - knowledge of general contracts like POC, BAA (plus), Licensing Agreement, Membership Agreement
- Good knowledge of data privacy – (experience in drafting DPA's would be an asset) - knowledge on SCCs and UK data privacy laws - other privacy laws, US privacy laws, HIPAA
- Experience in negotiating different clauses - termination, liability, warranty, indemnification, privacy, security, rights and ownership, confidentiality,
- Independently working on contract negotiations, redlines and reviews- good collaboration with business owners and procurement delivery managers, IT security specialists and Data privacy lawyers or GPO
- Law degree
- Fluency in English
- Strong team work skills such as relationship management, interpersonal, communication and problem solving
- Ability to manage various tasks/projects in the same time and to work independently
- Solid understanding of contractual terms with excellent organizational skills and attention to detail
- Flexible approach
- Good working knowledge of Microsoft Office suite
