We are looking for an experienced, professional and motivated individual to fill the position of Senior Counsel within our Legal Department based in Houston, TX. This position reports to the Assistant General Counsel responsible for M&A and Strategic Transactions.

Job Description

  • Lead and manage all aspects of complex and strategic transactions, including acquisitions, divestitures, asset exchanges and joint ventures.
  • Draft, review, negotiate and interpret a broad range of contracts, including confidentiality agreements, bid letters, letters of intent, purchase and sale agreements, exchange agreements, joint venture agreements, joint development agreements and similar transactional documents.
  • Support international and offshore business development activities, including negotiating and advising on farmout agreements, production sharing agreements and joint operating agreements.
  • Advise on a range of commercial agreements, including supply agreements, sales contracts, licenses, consulting agreements and raw materials purchase transactions.
  • Identify and counsel management with respect to potential risks, claims and disputes arising from commercial contracts and transactions, and propose and implement practical, business-oriented solutions.
  • Coordinate legal and functional experts in due diligence and negotiation and drafting efforts.
  • Interact with local and international cross-functional and corporate and business development teams.
  • Attend to general corporate and day-to-day legal issues.

Qualifications:

  • Doctor of Jurisprudence (J.D.) degree from an accredited law school; strong academic credentials
  • At least eight (8) years of transactional experience; top-tier law firm experience with relevant in-house experience preferred.
  • Texas State bar membership in good standing
  • Strong hands-on background in mergers, acquisitions and divestitures, with experience leading and coordinating transactions. Oil and gas industry experience required.
  • Must be highly ethical, able to maintain confidentiality, and handle highly sensitive information.
  • Must have outstanding written and verbal communication skills in addition to excellent problem-solving and interpersonal skills.
  • Must demonstrate judgment, tact, diplomacy, and cooperation when dealing with people at all levels, internal and external, of the business.
  • Must be practical, proactive, business-savvy and results-oriented.
  • Demonstrated ability to collaborate across functional groups and develop mutually collaborative relationships.
  • Demonstrated ability to work with a culturally diverse group of individuals who sit in multiple locations.
  • Must have a high level of proficiency with Microsoft Office programs (Word, Excel, and PowerPoint), as well as Microsoft Outlook and Teams.
