Schedule: Monday to Friday, 8AM-5PM PST (8 hours per day, 40 hours per week, 1 hour unpaid lunch break)

Job Summary
Our client  is currently seeking corporate counsel to join our team to assist our legal department.  This position will report to the General Counsel.  The corporate counsel will  implement the legal department’s contract lifecycle management system, work closely with key internal and external stakeholders, review, negotiate and manage the process for a wide variety of legal contracts and agreements (NDA’s, PSA’s, etc.), manage the receipt of and response to legal notices, prepare annual internal compliance audits, file patent applications and maintain patent maintenance fees, review and negotiate government contracts, manage document production in litigation, perform legal research, draft briefs in litigation, draft and negotiate technology license and development agreements, manage due diligence process for mergers and acquisitions,  and structure and negotiate complex agreements for private equity backed spinout transactions.

In addition, this role will assist with employment law matters; support various corporate governance initiatives; prepare, plan, and conduct company-wide trainings; assist General Counsel in various corporate development and strategic initiatives (e.g., thought leadership programs with Fortune 500 companies and large private equity firms); and broadly speaking, assume responsibility for continued implementation of systems, procedures, and best practices for the Legal Department. Your work will impact the client's engagement with external entities, as well as support the Company's employees, workflows, and operations.

Responsibilities
· 
Be highly organized and detail-oriented
· Manage contracting workflow for the legal department
· Review, draft and negotiate Non-Disclosure Agreements, Professional Service Agreements, technology licenses, development agreements, government contracts and various other legal documents
· Manage due diligence process for mergers and acquisitions
· Structure and negotiate complex agreements for private equity backed spinout transactions
· Manage contract lifecycles (e.g., collaborate with other departments (Finance, Business Development, Human Resources, Purchasing, etc.) to manage contract deadlines, milestones, and payments)
· Manage document production in litigation, perform legal research and draft briefs in litigation
· As requested, support the GC on contract drafting and negotiations, as well as interactions with counterparties and outside counsel
· Support a variety of corporate governance matters (e.g., entity formation; corporate filings; investor questionnaires; etc.) and preparation of minutes for Board of Director meetings
· Assist with corporate development and strategic initiatives, including developing and managing thought leadership programs with Fortune 500 companies and large private equity firms
· Manage long-term projects that improve the performance and efficiencies, such as template creation and updates, creation and delivery of Company-wide trainings, etc.
· Prepare and execute multiple internal compliance audits as needed, but at minimum annually
· Familiarity with intellectual property law (filing patents/patent applications, maintaining maintenance fees, etc.)
· Assist in special projects as requested
 

Requirements

Education, Experience and Skills

· 

Law degree and passing score on bar exam

· Undergraduate degree in business or M.B.A. degree

· Exceptional interpersonal and communication skills (verbal and written)

· Professionalism, integrity, good judgment and respect for confidentiality

· A flexible, can-do attitude that makes you willing (and excited!) to take on new, unfamiliar tasks

· Exceptional organizational skills and the ability to multitask with ease; strong project management skills; attention to detail

· Ability to review, structure, draft and negotiate a wide variety of legal contracts

· Strong legal research and writing skills

· Advanced knowledge of: Microsoft Office application suite (e.g., Word, Excel, and PowerPoint) and equivalents (e.g., Google Docs, Google Sheets, and Google Drive); Adobe Acrobat; BoxSign; and other common office software tools
