Position Description:

We are seeking a highly skilled Associate General Counsel, Commercial Contracts licensed to practice in New York with a minimum of 9-10 years of experience in commercial contracts, specializing in technology Software-as-a-Service (SaaS) agreements. The ideal candidate will have a proven track record of drafting, negotiating, and managing complex commercial contracts, with deep expertise in technology-related agreements, particularly in the SaaS industry. This role requires exceptional legal acumen, attention to detail, and the ability to provide strategic counsel to support business objectives while mitigating risks.

Requirements:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Licensure: Active license to practice law in New York.
  • Experience: Minimum of 9-10 years of legal experience focused on commercial contracts, with at least 5-7 years specializing in technology and SaaS agreements.

  • Extensive knowledge of commercial contract law, including drafting and negotiating complex agreements.
  • Deep understanding of SaaS-specific legal issues, including subscription models, data security, intellectual property licensing, and service availability commitments.
  • Familiarity with technology industry standards and best practices for SaaS contracts.
  • Exceptional drafting, negotiation, and analytical skills with a keen attention to detail.
  • Strong communication and interpersonal skills to collaborate effectively with cross-functional teams and external parties.
  • Ability to manage multiple high-priority projects in a fast-paced environment.
  • Strategic thinking with a business-oriented approach to legal solutions.
  • Experience working in-house at a technology or SaaS company.
  • Knowledge of international contract law and cross-border SaaS agreements.
  • Familiarity with cybersecurity and data privacy frameworks.

Additional Skills:

  • Draft, review, and negotiate a wide range of commercial contracts, with a primary focus on SaaS agreements, including master service agreements, licensing agreements, subscription agreements, and service level agreements (SLAs).
  • Provide expert legal advice on contract terms, intellectual property, data privacy, compliance, and risk management specific to SaaS and technology transactions.
  • Collaborate with internal stakeholders, including business development, sales, and product teams, to align contract terms with business goals and technical requirements.
  • Ensure compliance with applicable New York state and federal laws, as well as industry standards, including GDPR, CCPA, and other data protection regulations relevant to SaaS agreements.
  • Identify and mitigate legal and commercial risks in contract negotiations, ensuring favorable terms for the organization.
  • Manage contract lifecycle, including amendments, renewals, terminations, and dispute resolution.
  • Stay updated on emerging trends in technology law, SaaS industry standards, and regulatory changes to provide proactive legal guidance.
  • Mentor and guide junior attorneys or legal staff on contract-related matters, as needed.
