We are seeking a highly skilled Legal and Compliance Specialist to support our organization in managing legal and compliance matters. This role will be central in ensuring compliance with international corporate and commercial law, and best practices.Commercial Contracts
- Draft, review, and negotiate a broad range of commercial agreements, including SaaS MSAs, DPAs, NDAs, vendor agreements, and partnership contracts
- Develop and maintain contract templates, clause libraries, and negotiation playbooks to drive consistency and scalability
- Collaborate closely with Sales and Finance teams to manage deal flow and contract approval processes
- Ensure compliance with German corporate laws and regulations in the U.S.
- Provide guidance on corporate governance, including board and shareholder matters, entity management, and equity documentation
- Advise executive leadership on legal risks and mitigation strategies related to company operations and strategic initiatives
- Oversee privacy compliance, including support for GDPR, and German data protection laws (BDSG), including implementation of policies and data processing agreements
- Partner with Security and Product teams to review data handling practices and ensure appropriate contractual safeguards with customers and vendors
- Monitor and adapt to evolving European and international privacy regulations
- Support and M&A activities and associated integration workstreams, including liaisoning with Legal from external deal teams
- Partnering to create infrastructure, checklists, and processes for diligence reviews during M&A activities, including early-stage review through full integration
- Own the development of legal workflows, document management systems, and internal education on legal policies and procedures
- Work with external counsel to manage litigation, IP protection, and special matters cost-effectively and efficiently
- Act as the central owner of compliance topics ensuring consistent standards and policies company-wide
- Manage and maintain industry certifications (e.g., ISO standards) and audits and support compliance requirements of enterprise customers
- Define, prioritize, and monitor compliance areas the company must address, identifying what is already in place and what needs to be built
- Coordinate with cross-functional teams to organize compliance processes effectively
- Serve as the primary point of contact for compliance inquiries from customers, and suppliers
- Law degree with qualification in Germany or equivalent
- 5+ years of legal experience, ideally in-house roles at SaaS technology companies
- Proven experience with German corporate, commercial, and compliance law
- Knowledge of EU regulations (e.g., GDPR, competition law, corporate governance requirements)
- Exposure to U.S. legal frameworks is a strong advantage
- Strong drafting and negotiation skills in German and English
- Experience supporting or advising international operations and multi-entity legal structures
- Ability to communicate complex legal concepts in a practical, business-first manner
- Highly organized, responsive, and able to manage competing priorities with agility and accuracy
