You will report to our General Counsel and provide strategic business and legal support on commercial contracting, corporate governance, M&A, privacy, employment, and various other matters.

POSITION DESCRIPTIONSayari is looking for a dynamic, solutions-focused and pragmatic Associate General Counsel to join our rapidly scaling legal department. You will report to our General Counsel and provide strategic business and legal support on commercial contracting, corporate governance, M&A, privacy, employment, and various other matters.
JOB RESPONSIBILITIES
- Draft, negotiate and manage a wide variety of commercial agreements, including MSAs, software licenses, SOWs, professional service agreements, government contracts and NDAs.
- Partner with HR, Finance, IT and Tech/Product leaders on various projects, including data privacy, employment and benefits support, equity administration, product reviews, etc
- Assist in strategic transactions, including M&A and corporate finance transactions.
- Support the General Counsel in preparing materials for Board and Committee meetings
- Develop and maintain processes for efficient work processes in a fast paced and high-growth business, including playbooks, guidelines, and related documents.
- Assist in corporate formations and global entity management.
- Advise senior leadership on pragmatic and commercially-minded ways to mitigate risk while accelerating outcomes to meet the needs of the business
- Proactively monitor legal and business developments impacting the Company
- Assist on other legal matters impacting the Company as necessary
SKILLS & EXPERIENCE
- 5-10 years combined experience at a major law firm and/or in-house legal department. In-house experience at a high-growth tech company strongly preferred.
- Extensive experience drafting and negotiating commercial agreements; experience with SaaS, licensing, government contracts and partner/channel agreements is a major plus
- Experience with employment, benefits, equity and data privacy laws is a major plus
- Experience with corporate governance, strategic financing transactions and M&A, or a willingness to learn this area.
- Strong leadership and organizational skills with the ability to manage multiple projects and priorities simultaneously.
- Exceptional verbal and written communication skills in collaborating with management, corporate departments and all levels of employees.
- Exceptional business acumen, analytical ability, curiosity, integrity, and people skills.
