ABOUT THE JOB
The Tepa Companies are seeking an Associate Counsel to support the company’s legal affairs, with a focus on contract management, compliance, and corporate governance. This position will assist in the drafting, review, and negotiation of a wide range of agreements, helps ensure adherence to applicable contracts, laws and regulations, and contributes to the development of policies and procedures which reduce legal risk. The Associate Counsel works with internal stakeholders across the organization to support day-to-day operations and collaborates with senior leadership on significant business and transactional matters. This role provides broad exposure to corporate legal issues and the opportunity to develop into a trusted in-house legal advisor.
Job Functions:
- Assists with drafting and negotiating a wide range of contracts and related documents, including prime contracts, subcontracts, purchase orders, design agreements, joint venture agreements, teaming agreements, non-disclosure agreements, and letters of intent, ensuring alignment with company policies and risk management strategies.
- Supports the development and maintenance of standardized contract templates and clauses to reflect current legal standards, company-specific operations, and company risk postures, facilitating efficient contract creation and execution processes.
- Conducts reviews of all new contracts and redlines of existing templates, engaging senior leadership, external legal counsel, and other partners when specialized expertise is required.
- Provides assistance to project teams on project-related legal issues, including preparing correspondence and documentation to address performance concerns, contractual disputes, or other project matters. Ensure issues are managed in a way that minimizes risk to the company and preserves its ability to pursue or defend claims if necessary.
- Assists in legal aspects of acquisition projects, including due diligence, contract negotiations, and integration efforts.
- Collaborate with external attorneys on project-specific issues and general legal matters, including contract advice and dispute resolution, to ensure comprehensive legal support.
- Assists with entity management and compliance activities as requested, providing support to ensure adherence to jurisdictional requirements and maintenance of corporate records.
- Contributes to the development, implementation, and facilitation of corporate and operational compliance programs, policies, and training initiatives, including developing and delivering employee training sessions to enhance organizational understanding and adherence to legal concepts and requirements.
- Prepares accurate and timely draft minutes during board or other meetings at the request of the CEO, ensuring proper documentation of discussions and decisions in accordance with corporate governance standards.
- Monitors and analyzes changes in laws, regulations, and industry standards, and assist in advising stakeholders on necessary adjustments to company policies and operations.
- Maintains organized and accessible records of contracts and legal documents, ensuring proper documentation and facilitating efficient retrieval and reference.
- Identifies potential legal risks associated with contracts and business operations and provide proposed solutions to minimize exposure and protect company interests.
- Collaborates with internal departments, including finance & accounting, operations, and human resources, to ensure legal considerations are integrated into contracts and processes.
WHAT WE’RE LOOKING FOR
- Juris Doctor (J.D.) degree from an accredited law school
- Licensed to practice law in at least one U.S. jurisdiction
- 3+ years’ experience in contract management, legal affairs, or a related field, preferably within the construction, engineering, or environmental services industries
- Demonstrated experience in contractual review and negotiations.
- Ability to exercise professional discretion and make informed decisions independently, while collaborating effectively with internal stakeholders and external counsel.
- Strong foundational skills in contract drafting, negotiation, and review, with attention to accuracy and detail.
- Developing ability to analyze legal risks, interpret complex documents, and provide practical guidance under supervision.
- Effective written and verbal communication skills, with the ability to explain legal concepts clearly to non-legal colleagues.
- Strong interpersonal skills, fostering positive relationships with colleagues, partners, and clients.
- Well-organized and proficient in time management, with the ability to manage multiple priorities under deadlines.
- Demonstrated willingness to learn, adapt, and stay informed on relevant legal developments.
- Collaborative mindset, with the ability to contribute effectively as part of a team.
