Description
WHAT WE NEEDHazelcast, Inc. is seeking an experienced Commercial Counsel to join our legal team with the primary responsibility of supporting sales with commercial contracts. We are looking for a Commercial Counsel with deep expertise in software licensing and cloud services to negotiate complex technology agreements and provide strategic guidance on commercial deals. The ideal candidate will have extensive experience with global, enterprise-level deals, working primarily with Fortune 500 customers and, in particular, Banking, Financial Services, and Insurance (BFSI) customers. This position will report directly to the CFO.
WHAT YOU'LL DO
- Draft, review, and negotiate complex customer-focused cloud service agreements, software licensing agreements, OEM agreements, professional services agreements, reseller agreements, and distribution partnerships.
- Lead customer-focused data protection, AI, and privacy initiatives, including requirements around GDPR, CCPA, DORA, and the EU AI Act.
- Partner with sales, product, finance, and engineering teams on product, contract structures, and risk assessment.
- Handle license audits, compliance disputes, and enforcement matters.
- Ensure compliance with open-source licensing requirements and manage open-source risk assessment.
- Develop and maintain commercial contracts templates and playbooks.
- Provide sales and executive team with strategic guidance on software licensing and cloud service deals, pricing structures, and commercialization strategies.
- Collaborate with business leaders to structure deals that balance legal risk with business objectives.
- Stay current on software licensing trends, industry standards, and regulatory developments.
- Support corporate development initiatives and strategic partnerships.
- Lead procurement legal strategy and negotiate enterprise vendor agreements.
- Support business with employment matters.
- Manage the company’s privacy compliance.
- Keep company policies updated with the support of other functional areas.
- Manage disputes and work with outside counsel as needed.
- Advise on software IP portfolio development.
- Assist with SOC 2 and ISO 27001 compliance.
- Assist with trademark and other marketing initiatives.
WHAT YOU HAVE
- JD from an accredited law school with admission to practice in the United States; California bar admission preferred.
- 8+ years of legal experience focused on software licensing, cloud computing, and data protection.
- Excellent business acumen and ability to balance legal risk with operational efficiency.
- Excellent communication skills and ability to work well with customers.
- Drive to push deals forward and to work collaboratively with internal customer (sales) and business teams.
- Strong experience working in-house at technology companies.
- Technology background or technical degree preferred.
- Experience in the technology transactions practice area at a leading law firm preferred.
