The Legal Counsel (Corporate Secretary) is responsible for ensuring effective corporate governance practices in FE “Franklin Templeton Asset Management” LLC, “National Investment Fund of the Republic of Uzbekistan” JSC (UzNIF), and its portfolio companies, managing UzNIF board operations, and facilitating communications with the UzNIF board, and general shareholders meeting (sole shareholder).
Key Responsibilities:
- Organise, prepare, and facilitate shareholders’, board and committee meetings, including drafting agendas, resolutions, presentations, and accurate meeting minutes.
- Maintain statutory registers and manage regulatory filings and registrations with governmental and regulatory authorities in the Republic of Uzbekistan.
- Provide comprehensive guidance to the board on corporate governance practices and ensure compliance with applicable laws and regulations.
- Draft, review, and manage corporate documents, including charters, shareholder agreements, shareholder and board resolutions, internal rules and regulations, as well as other corporate governance documentation.
- Assist in regulatory compliance monitoring and reporting, ensuring adherence to internal governance policies and external regulatory requirements.
- Act as a primary liaison between the board of directors, shareholder(s), and senior management.
- Collaborate with the legal team to handle corporate legal matters, including transactional support, regulatory interactions, and legal documentation.
- Conduct legal research, providing detailed analyses and recommendations relevant to corporate governance and regulatory compliance.
- Draft, review and negotiate commercial agreements.
