Role Overview:
As Senior Legal Counsel at Medavie, you will play a pivotal role in supporting legal compliance across all areas of the organization. You will strengthen relationships with key stakeholders and clients by gaining a deep understanding of their business and delivering proactive, solution-oriented legal advice. You will negotiate contractual relationships, identify legal risks associated with business opportunities, and monitor legislative changes that impact the business. Your expertise will guide significant projects, strategic initiatives, and contract negotiations, ensuring the organization operates within legal frameworks and mitigates risks effectively. Additionally, you will manage relationships and communications with key clients, strategic partners and vendors to ensure alignment and mutual success.
Key Responsibilities:
Contract Negotiation: Draft, review and negotiate a variety of commercial contracts, including service agreements, vendor contracts and partnership arrangements.
Legal Advice: Provide timely and practical legal advice to internal departments on a wide range of matters to support business operations, promote compliance with applicable laws and policies, and mitigate legal risk.
Regulatory Compliance: Monitor and maintain up-to-date knowledge of legal and regulatory developments relevant to Medavie Inc. and its subsidiaries.
Template Development and Management: Develop, update, and maintain standardized contract templates for use across the organization, ensuring consistency, legal compliance, and operational efficiency.
Policy Development and Management: Support the development, implementation and maintenance of legal policies and procedures.
Strategic Projects: Contribute to significant projects and strategic initiatives as required.
Real Estate Matters: Provide legal support on real estate transactions, leases and property management .
Legal Technology and Process Improvement: Strive to continuously advance the legal department’s business practices through process improvements, new approaches, and the implementation of legal technology solutions.
External Counsel Management: Select, retain and manage external legal counsel on various legal matters.
Litigation Oversight: Oversee legal proceedings in collaboration with external counsel.
Legal Expense Management: Review and approve incurred legal fees and expenses.
Privacy Support: Provide legal guidance to Privacy team on a wide variety of privacy-related matters.
Training and Education: Develop and deliver legal training sessions to internal teams on topics such as contract management.
Qualifications:
LL.B or J.D. from an accredited Canadian University, or equivalent legal qualification.
Member in good standing with one or more provincial Law Societies in Canada.
7-12 years of experience as a practicing lawyer in a Canadian jurisdiction, with a strong background in commercial law, enterprise contracting, commercial negotiation, health law, insurance law and contract management.
Experience as in-house counsel within a Canadian organization.
Preferred experience in healthcare industry.
Strong drafting, negotiating and analytical skills.
Strong communication skills in a practical, solution-oriented and collaborative style.
Strong written communication skills in a clear form to a diverse range of individuals, including senior executives.
Skilled in effectively managing a high volume of time-sensitive files and priorities.
Demonstrated business acumen and understanding of regulatory and compliance frameworks.
Proficiency in Microsoft Office Suite, Westlaw and legal research tools.
Experience in working with Artificial Intelligence (AI) in legal contexts.
Security Clearance Requirement: In conjunction with our contract with the Federal Government, you will be required to have Reliability Status Clearance (Enhanced Level B) prior to your start date. This includes Fingerprinting, Criminal Record Check, Credit Check and you must have resided in Canada for at least 5 years and hold Permanent Resident or Citizenship status.
