JOB TITLE: Corporate Paralegal
REPORTS TO: SVP, Legal Affairs
DEPARTMENT: Legal

JOB OVERVIEW
Prometric is seeking a proactive Corporate Paralegal with 3+ years of general paralegal experience. This individual must possess strong organizational skills, attention to detail, and the ability to manage multiple projects simultaneously in a fast-paced, high-accountability corporate environment. Candidate will assist the in-house legal team with day-to-day activities as needed and support the legal group and business leaders in navigating the complexities of corporate governance, compliance, and transactions. Salary for this role is starting at $70,000.

QUALIFICATION REQUIREMENTS
The candidate must have the following attributes:
• Governance: General Corporate Governance matters including entity formation, dissolution, and restructuring. Preparation and dissemination of corporate resolutions. Attend quarterly Board and committee meetings and prepare and distribute minutes. Collect information related to internal and external audit requests for various Prometric entities. Assist with preparing materials for the Board of Directors. Serve as liaison for third-party international governance partner. Maintain minute books and ensure corporate records are up-to date and compliant with all legal and regulatory requirements.
• Contract Management: Facilitate completion of administrative tasks including assistance with commercial contracts (e.g., filling in basic information to contract forms, proofreading and collecting business information for schedules/appendices). Ensure appropriate contract authorization. Update contract forms and draft simple form documents (e.g., NDA, Releases, Amendments, Contract Extensions.) Ensure timely review, approval, and execution of contracts per company policies and legal requirements.

• Compliance: Monitor and maintain compliance calendars for regulatory filings and licensing requirements. Assist with internal compliance audits and investigations. Support the development and implementation of company policies and procedures to ensure compliance with applicable laws, including data privacy, anti-corruption, and employment regulations. Conduct research on legal and regulatory developments relevant to the company’s industry.

• Transactional Support: Provide administrative and due diligence support for mergers, acquisitions, financings, and other corporate transactions. Organize and manage closing checklists, signature pages, and post-closing documentation. Coordinate with internal and external stakeholders to gather and verify required documents and information. Assist with the formation, dissolution, and restructuring of subsidiaries, joint ventures, and other entities.
EDUCATION
• Bachelor’s degree or equivalent. Paralegal Certificate or degree preferred. Notary preferred – or willingness to obtain upon hire.
EXPERIENCE

• Minimum of 3 years’ experience as a corporate paralegal, preferably in a law firm or in-house corporate legal department.
• Comprehensive understanding of corporate governance, contracts, and compliance matters.
• Strong organizational, analytical, and problem-solving skills.
• Excellent written and verbal communication abilities.
• Demonstrated ability to handle confidential and sensitive information with discretion.
• Proficient in Microsoft Office Suite, Adobe Acrobat, and legal research platforms (e.g., Westlaw, LexisNexis).
• Experience with contract management or document management systems is a plus.
• Ability to work independently as well as collaboratively within a team environment.
• Detail-oriented with a high degree of accuracy and thoroughness.
