Job Description
Ares’ Real Assets Legal team is seeking a highly organized, quick-thinking and proactive Corporate Paralegal to join the Legal team in Denver and support its private real estate funds. The position includes interaction with senior executives as well as support and collaboration with other paralegals, attorneys and key business stakeholders at Ares. Individual must have the ability to work independently in a high-pressure environment where speed and accuracy are important. The candidate must be able to maintain confidentiality and operate with highest levels of professionalism and ethics.

PRIMARY FUNCTIONS AND RESPONSIBILITIES
The Paralegal will provide day-to-day support to and collaboration with the attorneys and other paralegals in Real Assets Legal team with respect to a variety of recurring tasks and discrete projects.
Critical tasks include:
- Investment Structuring, Entity Formation and Maintenance:
- Support investment entity structuring and asset level transactions.
- Support structuring related to fund formation and capital raising.
- Form, maintain and dissolve various types of legal entities related real estate private funds, including REITs, joint ventures and special purpose entities (Delaware, Caymen, etc.).
- Draft operating agreements, organization charts and other related documents. Additionally, assist with bank account openings for new entities, including but not limited to completing the necessary bank forms for KYC related inquiries.
- Review, maintain and update corporate entity charts, officer lists on a quarterly basis.
- Review signature blocks and verify signing authority on documents for the Asset Management group.
- Maintain various entity trackers (REIT Trackers, Acquisition and Sales Trackers, Independent Managers etc.)
- Real Estate Transactions:
- Respond to inbound Know Your Customer, Anti-Money Laundering and other legal/regulatory information requests.
- Draft resolutions and secretary certificates.
- Assist with running real estate investment committee.
- Assist with resolving escalations to legal on non-disclosure agreements.
- Assist with drafting AML letters for review by Compliance.
- Send out quarterly surveys to various teams in connection with legal audits/returns.
- Participate in acquisition related calls.
- Collaboration & Coordination with Real Assets Legal Team
- Successful ongoing collaboration and coordination with other paralegals to efficiently allocate responsibilities related to various vehicles and initiatives within Real Assets Legal team.
- Support regulatory compliance and filings.
- Assist with policy maintenance. Review and assist in compiling entity related data for the Legal Ops team
- Other Tasks
- Coordinate with other paralegals in the organization on various special projects.
- Review and allocate legal and entity maintenance invoices.
- Ensure our legal records are highly organized and complete so documents are easily accessible when needed.
- Assist with improving standard forms/precedents and processes.
- Maintain and renew EDGAR codes in the EDGAR Next database.
Qualifications
Education/Certification
- Bachelor’s degree required.
- Paralegal certificate from an ABA-accredited program or equivalent qualification preferred.
- Notary public preferred.
Experience
- Minimum of 5 years of experience functioning as an in-house paralegal is required.
- Minimum of overall 7 years of relevant experience is required.
- Substantive corporate real estate experience (including with REITs, LLCs and international entity structures (e.g., Caymen)) is required.
- Substantive experience working within a regulated industry, at a law firm or in an in-house legal department is required.
- Substantive experience with real estate transactions, including real estate joint ventures, and tax deferred 1031s is preferred.
Requirements
- Skilled with Adobe Acrobat Pro, Microsoft Office Suite and other MS Office software products, especially MS Excel.
- Experience with entity data management or analytics software and willing to learn using new software.
- Ability to successfully operate in a fast-paced team environment.

Reporting Relationships

The anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.
$100,000 - $115,000
